
Introduction
On April 12, 2026, a researcher publishing as Nick Research posted a figure that Blockonomi subsequently reported: the average return across 2026 token launches sits near -54%. The underlying dataset is not public. We do not know the sample window, the inclusion threshold, the baseline price used, or whether returns are measured from sale price, opening print, or first-day close. Treat it as an order-of-magnitude claim rather than an audited statistic.
The individual cases Blockonomi cites are harder to wave away. RNBW traded roughly 89.87% below its ICO price. AZTEC fell about 49.79% after its token generation event. ZAMA lost around 43% post-TGE. What links them is not a shared sector or a shared chain. It is a shared shape: attention and liquidity both crest at the TGE and then decline together, while token supply moves in the opposite direction.
That shape is a design output. A launch that sells a small circulating percentage of total supply at a valuation implied by the full supply, backed by venture allocations acquired at a fraction of the sale price, will produce a descending price series under a wide range of market conditions. Blockonomi’s sources describe the configuration as an exit-liquidity machine, which is uncharitable phrasing for an accurate mechanical description.
The market’s response has been to rebuild the launch stack, and the rebuild has moved capital formation onto exchange balance sheets. Coinbase paid $375 million for the fundraising platform Echo. Kraken shipped Kraken Launch, a white-label sale product powered by Legion, which allocates tokens using a merit score computed from social activity, developer contributions, and onchain history, and which Kraken positions as compliant with MiCA in Europe. MetaDAO went the other direction, running an ICO launchpad on Solana governed by decision markets rather than by an exchange or a foundation.
Two of these three put the venue that will list the token in charge of the sale that prices it. That arrangement has a long history outside crypto, and the history is not reassuring.
The arithmetic that makes a low float self-liquidating

Fully diluted valuation is the marginal price of a token multiplied by its entire eventual supply. When only a small fraction of that supply is tradable at the TGE, the marginal price is set by whoever is willing to transact in a thin book. A modest amount of net buying can support a nine-figure FDV, and the resulting number becomes the reference point for everything downstream: the project’s own treasury accounting, the strike prices in market-maker loan agreements, the mark that venture funds carry, and the retail buyer’s sense of what the asset is worth.
The problem is that this reference price is established under supply conditions that do not persist. Every unlock cliff delivers new tokens into a book whose depth was calibrated for the float, not for the total. The sellers arriving at each cliff hold a cost basis set in a private round, often an order of magnitude below the sale price. The buyers arriving to absorb them hold a cost basis set at the TGE. There is no market condition under which those two groups meet at a stable price, because the seller’s minimum acceptable price is structurally lower than the buyer’s.
Attention runs the other way on the same clock. Listing announcements, media coverage, incentive campaigns, and market-maker inventory all cluster in the days around the TGE. That is when the book is deepest and the marginal buyer is most numerous. It is also, by construction, the moment of minimum circulating supply. Liquidity declines from that peak while supply increases from its trough. The price path is the quotient of two curves moving in opposite directions.
This is why the pattern reproduces across unrelated projects. A team with a good product and a low float faces the same supply arithmetic as a team with a bad one. Blockonomi notes that projects with demonstrated product-market fit, citing Pendle and Hyperliquid, retained narrative strength better than newer launches, which is consistent with fundamentals mattering at the margin without overriding the supply mechanics. Fundamentals determine who absorbs the unlocks. They do not determine whether the unlocks arrive.
The corollary matters for evaluating anything that claims to fix launches. A reform that changes who receives an allocation is operating on the demand side. The -54% diagnosis is a supply-side diagnosis. These are different problems, and solving the first does not touch the second.
Points programs distributed tokens to the people least likely to hold them

The points-to-airdrop meta was an attempt to route distribution around venture funds. Instead of selling supply to allocators, a protocol would emit points for deposits, usage, or referrals, then convert points into tokens at the TGE. The intended outcome was a holder base of users. The actual outcome was a holder base selected for sensitivity to expected airdrop yield.
The selection mechanism is the problem. A farmer allocates capital to a points program on the basis of projected token value divided by capital-days committed. That calculation makes the farmer indifferent to the protocol itself and highly sensitive to the exit. Their cost basis in the token is the opportunity cost of the deposit, which is small and already sunk by the TGE. Their reservation price is therefore close to zero. When the airdrop lands, the rational move is to sell into the deepest book the token will ever have, which is the one that exists at the TGE.
Points programs also made the float problem worse rather than better. Airdropped supply counts as circulating on day one and sits in wallets whose owners have already decided to sell. A launch can advertise a healthy circulating percentage while that percentage is composed almost entirely of holders with no reason to remain. The float is nominally large and functionally a queue.
Paid public sales address exactly one thing here, and address it well. A buyer who wired money at a known price has a cost basis, and a cost basis produces reservation prices above zero. That is a real behavioral difference and it explains why the sale model came back.
The qualification is that a paid sale only produces that effect if the sale price is close to the price the secondary market discovers. If the sale is deliberately priced below an expected opening print, the buyer’s economics converge on the farmer’s: acquire cheaply, sell into the TGE book, exit before the unlock schedule starts. The discount is the point of the sale from the buyer’s perspective, and the size of that discount determines whether the sale produces holders or resellers. Nobody in the current cohort of launch platforms has published the discount they target.
Where the launch stack reassembled

The three prominent responses occupy structurally different positions relative to the exchange.
Coinbase bought its rail outright. The reported price for Echo was $375 million. Beyond the number, the public record retrieved for this analysis is thin: Decrypt’s coverage establishes the acquisition and the price without detailing deal structure, integration plans, or Coinbase’s stated rationale. Echo is widely associated with the XPL sale for Plasma, but we could not verify that specific attribution from the sources available here, and it should be treated as unconfirmed rather than as established fact. What is established is the structural fact that matters: a licensed exchange now owns a primary issuance platform.
Kraken took the partnership route. Kraken Launch runs on Legion’s technology, with each high-profile sale deploying simultaneously on Kraken Launch and on Legion’s own onchain venue, and trading opening on Kraken shortly after the sale closes. Legion computes a merit score across social activity, developer contributions, onchain history, and unspecified other factors, and a reserved portion of each sale is allocated to users by that score. The remainder is distributed first-come, first-serve on both venues. Kraken’s announcement frames the product around transparency, the absence of hidden round allocations and insider deals, compliance with frameworks including MiCA in Europe, and rewarding long-time Kraken clients. Legion co-founder Matt O’Connor frames the model as a company launching to its community onchain instead of running an IPO. Kraken’s blog is a marketing document, and the claims about hidden allocations are the exchange’s own characterization of its product, not an audited finding.
MetaDAO removed the exchange from the structure. Its launchpad issues what it calls ownership coins and governs the resulting treasury through futarchy, a decision-market model proposed by the economist Robin Hanson in 2000, in which proposals pass or fail according to market pricing rather than token-holder votes. The pitch, articulated in Shoal’s write-up, is that the 2017 ICO era failed because raising money and controlling the proceeds were the same act, and that a treasury which can only be spent through a market test removes the founder’s ability to extract it.
The Shoal piece is advocacy, and it is worth reading it as such. It is also the only source in this analysis that identifies the 2026 launch pathologies with any specificity: faked follower counts and engagement metrics, launches at inflated valuations against a low float, paid tier-one exchange listings, and market makers engineering chart patterns that let insiders exit into retail bids. Those are supply-side and conduct-side failures. Two of the three responses above are demand-side reforms.
Merit scores move discretion, and it is not clear where

Legion’s merit score is the most novel allocation primitive in the current set, and the most difficult to evaluate, because its parameters are not published. Kraken’s announcement names the input categories and says a portion of each sale is reserved for high scorers. It does not disclose the weights, the size of the reserved portion relative to the first-come-first-serve remainder, the refresh cadence, the treatment of new accounts, or whether a user can see, contest, or appeal their own score. We could not locate those figures in the material available.
Consider each input as an attack surface. Social activity was the original sybil vector; the points era demonstrated at scale that engagement metrics can be manufactured for less than the value of the tokens they unlock, and Shoal’s write-up lists faked followers among the standard 2026 practices. Onchain history is not manufacturable retroactively, but it is transferable: aged wallets with credible transaction records can be bought, and the market for them predates merit scoring. Developer contributions are the hardest input to fake convincingly and also the narrowest, since the population of people with legible open-source history in crypto is small and already well-capitalized.
The composition problem is worse than any single input. A score that blends three farmable-to-different-degrees signals with undisclosed weights gives an attacker a specific optimization target and gives an honest participant no way to know whether their behavior counts. Points programs, for all their failures, generally published their formulas, which at least let participants price the game they were playing. A merit score relocates allocation discretion from a venture fund’s cap table into an algorithm that no external party can audit. Whether that is an improvement depends on facts nobody has disclosed.
The strongest counterargument is empirical and untested. A holder base weighted toward developers and long-duration onchain participants plausibly has longer holding horizons than either a fund operating against a redemption clock or a farmer with a near-zero cost basis. If merit scoring produces a first-day holder set whose reservation prices are materially above zero, it would attack the TGE liquidation dynamic directly. That is a measurable claim. Nobody has published the measurement.
The first-come-first-serve remainder reintroduces a familiar dynamic in unfamiliar clothing. On an onchain venue, FCFS resolves to a gas auction won by bots. On an exchange, it resolves to whoever holds a funded balance and a low-latency connection, which is a different population with the same characteristic: allocation goes to infrastructure, not to conviction.
None of this touches float. Merit scoring determines the identity of the buyers in the public tranche. It has no bearing on how much of total supply that tranche represents, on the vesting schedule attached to the private rounds that preceded it, or on the FDV the sale prices against. A launch can run a perfectly designed merit allocation and still ship a single-digit float against a valuation that the private cap table will spend two years selling into.
Futarchy attacks the founder problem, not the float problem

MetaDAO’s model is the only one of the three that operates on the issuer rather than the buyer. The mechanism, in outline, is that treasury decisions are resolved through conditional markets: participants trade on the value of an ownership coin under the assumption that a proposal passes and under the assumption that it fails, and the proposal executes if the pass-conditional market prices higher. Hanson’s original framing was that markets aggregate dispersed information about consequences better than votes aggregate preferences about them.
The described consequence is that a founding team cannot unilaterally direct raised capital. Applied to an ICO, the claim is that the treasury is locked at the contract level and its only withdrawal path runs through a passed decision market, which is where the term unruggable comes from.
We could not verify the enforcement mechanism. The source available here is truncated before it explains how ownership coins and the treasury lock are technically implemented, and the distinction matters enormously. A treasury held in an escrow contract whose sole withdrawal function requires a settled decision market is a hard constraint. A treasury held in a multisig that the team has committed to operate according to decision-market outcomes is a soft one, and the difference between the two is the entire claim. Anyone evaluating MetaDAO-launched issues should read the contracts rather than the framing.
Assume the hard version is implemented. Two failure modes remain.
The first is manipulation cost. A decision market’s resistance to a bribe scales with its depth. If a treasury holds substantially more value than the conditional markets governing it can absorb, an attacker can buy the pass-conditional side of a self-serving proposal for less than the proposal is worth to them. This is the standard critique of futarchy and it binds hardest exactly where the stakes are highest, since the proposals worth manipulating are the large ones. Thin markets governing a large treasury are a structural vulnerability rather than a temporary bootstrapping issue.
The second is the metric problem. Futarchy optimizes whatever value function the conditional markets are denominated in. If that function is the price of the ownership coin, the mechanism will systematically favor decisions that raise the coin’s price over the market’s forecast horizon. Buybacks and distributions price well on short horizons. Research spending, security work, and slow ecosystem investment price badly. A governance system that mechanically prefers the former is aligned against founder extraction and simultaneously aligned toward treasury depletion by a different route.
The ownership coin framing does contain something the other two models lack. A token that represents a claim on a locked treasury has a reference value independent of narrative: treasury assets divided by coins outstanding. That is not a floor in any enforceable sense, but it is a number a buyer can compute and compare to the market price, which is more than a low-float launch offers. Whether MetaDAO’s implementation actually produces that claim is exactly what the truncated source does not establish.
Futarchy also remains largely untested for real capital allocation at scale outside crypto-native experiments. The theory dates to 2000 and the practice does not have a track record long enough to distinguish a working mechanism from a mechanism that has not yet been attacked.
The underwriter conflict, restated for exchanges

The following comparison draws on general background about traditional securities markets rather than on any source in this analysis, and should be read as context.
When a bank underwrites a new issue, it sets the offering price, allocates the shares, and collects a fee. When the same institution also operates or controls the venue where those shares subsequently trade, its incentives around pricing and allocation stop being purely about the issuer’s interests. Twentieth-century US financial regulation addressed versions of this through a combination of structural separation between banking and securities functions and disclosure and allocation rules governing how new issues are placed. The separation was imperfect and was later substantially unwound, and even in the periods when it was strongest, allocation abuses around hot offerings recurred. The relevant point is that the conflict was recognized as structural, meaning it arises from the combination of roles rather than from bad actors occupying them.
Coinbase owning Echo and Kraken listing tokens sold through Kraken Launch reproduce the combination. Four specific channels follow.
Listing becomes part of the offering’s marketing. Kraken states that tokens from high-profile Legion sales trade on Kraken shortly after the sale. A buyer in the primary sale is therefore not evaluating an asset with uncertain distribution prospects; they are buying a pre-committed listing on a major venue. That commitment is worth something, it is supplied by the sale’s operator, and it raises the price the sale can clear at. The exchange is compensating itself, in listing access, for demand it helped create.
Fee income stacks across the same event. An integrated operator earns on the primary allocation and then on secondary trading. Trading revenue is a function of volume, and volume around a TGE is a function of volatility rather than of durable price. An exchange with both revenue lines has no financial exposure to the token’s twelve-month path and considerable exposure to its first-week turnover. That is not an accusation of misconduct. It is a description of where the revenue sits.
The primary sale generates information the secondary market does not have. Whoever operates the sale observes the full demand curve, the wallet-level concentration of allocations, and the geographic and behavioral distribution of buyers before a single unit trades publicly. Whether that information is walled off from the operator’s listing committee, its own trading operations, and its market-making relationships is a disclosure question. No public disclosure addressing it exists for either Coinbase or Kraken in the material reviewed here.
Listing standards become unobservable. If an exchange applies one bar to externally originated tokens and a lower one to tokens from its own launch platform, no outside party can detect the divergence, because listing criteria are already discretionary and unpublished in detail. The conflict is not that the exchange will necessarily lower the bar. It is that nobody can verify it did not.
Kraken’s counter to all of this is compliance. The announcement cites MiCA. MiCA is an authorization and disclosure regime: it imposes obligations on issuers and service providers regarding published documentation, liability, and market-abuse conduct. It is not, as far as the record here establishes, a structural-separation regime of the kind that historically addressed underwriter conflicts. Disclosure regimes work by making a conflict visible and letting participants price it. Structural separation works by removing the conflict. These are different instruments addressing the same hazard with different failure modes, and disclosure fails specifically when the disclosed information is too coarse or too buried to change behavior. The pack contains no independent confirmation of Legion’s or Kraken Launch’s MiCA classification or licensing beyond Kraken’s own statement, so even the disclosure baseline is currently unverified.
The defensible version of the exchange-ownership case is about counterparty risk rather than allocation fairness. A licensed exchange with reputational and legal exposure is a more accountable operator of a sale than an anonymous offshore launchpad. Buyers get recourse, custody standards, and an entity that can be sued. That is a genuine improvement over the 2017 baseline. It is orthogonal to whether the sale is priced and allocated in the buyer’s interest.
The measurements that do not exist yet
Nobody has published a platform-level return cohort. There is no breakdown of how tokens launched through Echo, Kraken Launch, or MetaDAO performed against the roughly -54% market-wide average, and without one, every claim these platforms make about improving outcomes is a claim about mechanism rather than result. That dataset is straightforward to construct and its absence is itself informative.
Four disclosures would let the market evaluate these designs on something other than trust. Legion could publish merit-score weights, the reserved-versus-FCFS split per sale, and a contest procedure. Coinbase could state whether Echo-originated tokens are reviewed under the same listing criteria as external tokens and whether primary-sale demand data is walled off from its listing and trading functions. Kraken could do the same for Legion sales. MetaDAO could point to the specific contract that makes a treasury withdrawal impossible without a settled decision market, rather than to the description of one.
There is also a confounder that will make attribution difficult in 2027. Blockonomi reports that MegaETH, Polymarket, and OpenSea have delayed their TGEs pending usage and traction milestones instead of launching on hype. If issuers are independently becoming more disciplined about when they launch, the next cohort of returns will improve for reasons unrelated to merit scores, futarchy, or exchange rails. Distinguishing issuer discipline from launch-mechanism reform will require comparing tokens launched on the new rails against contemporaneous tokens launched without them, and that comparison requires someone to build the cohort.
The single most legible indicator is float. Merit scoring, decision markets, and exchange ownership all operate upstream or downstream of the supply schedule without changing it. If the sales running on these new rails continue to release single-digit percentages of supply at valuations set by the full supply, against private rounds vesting over the following two years, then the reform reached the allocation layer and stopped there. The buyers will be better chosen and the arithmetic will be unchanged.

포인트 프로그램은 유통비율 문제를 완화하기는커녕 악화시켰다. 에어드랍된 물량은 첫날부터 유통량으로 잡히지만, 그 지갑 주인들은 이미 매도를 결정한 상태다. 런칭 시점에는 건강해 보이는 유통비율을 광고할 수 있지만, 그 비율의 거의 전부가 남아 있을 이유가 없는 홀더들로 구성되어 있는 것이다. 명목상 유통 물량은 크지만 실질적으로는 대기열이다.
유료 퍼블릭 세일은 정확히 이 지점을 해결하며, 잘 해결한다. 알려진 가격에 돈을 송금한 매수자는 원가를 갖게 되고, 원가는 0보다 높은 유보가격을 만들어낸다. 이는 실질적인 행동 차이이며, 세일 모델이 다시 돌아온 이유를 설명해준다.
단서를 달자면, 유료 세일이 이런 효과를 내는 것은 오직 세일 가격이 세컨더리 마켓이 발견하는 가격과 근접할 때뿐이다. 세일 가격을 예상 오픈 가격보다 의도적으로 낮게 책정하면, 매수자의 경제성은 파머의 경제성으로 수렴한다. 싸게 사서 TGE 오더북에 팔고 언락 스케줄이 시작되기 전에 빠져나가는 것. 매수자 입장에서는 그 할인폭 자체가 세일에 참여하는 목적이며, 할인폭의 크기가 그 세일이 홀더를 만들어내느냐 재판매업자를 만들어내느냐를 가른다. 현재 런치패드 진영 중 자신들이 목표하는 할인폭을 공개한 곳은 없다.
런칭 스택이 다시 조립된 지점

주목받는 세 가지 대응책은 거래소와의 관계에서 구조적으로 서로 다른 위치를 차지한다.
Coinbase는 아예 자신의 레일을 사버렸다. Echo 인수 보도가에 3억 7,500만 달러라는 숫자가 나온다. 그 숫자를 넘어서면, 이 분석을 위해 확보한 공개 기록은 얇다. Decrypt의 보도는 인수 사실과 가격을 확인해줄 뿐, 딜 구조나 통합 계획, Coinbase가 밝힌 근거는 자세히 다루지 않는다. Echo는 흔히 Plasma의 XPL 세일과 연관지어 이야기되지만, 여기서 확보한 소스로는 그 구체적인 연관성을 검증할 수 없었고, 확정된 사실이 아니라 미확인 정보로 다뤄야 한다. 확실한 것은 구조적 사실 그 자체다. 라이선스를 보유한 거래소가 이제 프라이머리 발행 플랫폼을 소유하고 있다는 것.
Kraken은 파트너십 경로를 택했다. Kraken Launch는 Legion의 기술 위에서 구동되며, 주목받는 세일마다 Kraken Launch와 Legion 자체의 온체인 벤뉴에 동시에 배포되고, 세일 종료 직후 Kraken에서 거래가 열린다. Legion은 소셜 활동, 개발자 기여도, 온체인 이력, 그리고 명시되지 않은 기타 요인들을 종합해 merit score를 산출하며, 각 세일 물량 중 일정 부분을 이 점수 기준으로 유저들에게 배분한다. 나머지는 두 벤뉴 모두에서 선착순으로 분배된다. Kraken의 발표는 이 상품을 투명성, 숨겨진 라운드 배분이나 내부자 거래의 부재, MiCA를 포함한 규제 프레임워크 준수, 오랜 Kraken 고객에 대한 보상이라는 프레임으로 소개한다. Legion 공동창업자 Matt O’Connor는 이 모델을 IPO를 진행하는 대신 커뮤니티를 향해 온체인으로 런칭하는 회사라는 식으로 표현한다. Kraken의 블로그는 마케팅 문서이며, 숨겨진 배분에 관한 주장은 감사된 사실이 아니라 거래소 스스로의 상품 설명이다.
MetaDAO는 구조에서 거래소를 아예 제거했다. 이곳의 런치패드는 이른바 ownership coin을 발행하고, 그렇게 형성된 트레저리를 futarchy로 거버넌스한다. 이는 경제학자 Robin Hanson이 2000년에 제안한 decision market 모델로, 제안의 통과 여부가 토큰 홀더 투표가 아니라 마켓 프라이싱에 따라 결정된다. Shoal의 글에 나온 취지는, 2017년 ICO 시대가 실패한 이유가 자금을 모으는 행위와 그 자금을 통제하는 행위가 동일한 주체의 동일한 행동이었기 때문이며, 시장 테스트를 거쳐야만 지출할 수 있는 트레저리는 창업자가 그것을 빼돌릴 능력 자체를 제거한다는 것이다.
Shoal의 글은 옹호론이며, 그렇게 읽어야 한다. 동시에 이 분석에서 유일하게 2026년 런칭의 병폐를 구체적으로 짚어낸 소스이기도 하다. 조작된 팔로워 수와 참여 지표, 낮은 유통비율에 부풀려진 밸류에이션으로 진행되는 런칭, 유료 티어원 거래소 상장, 내부자들이 리테일 매수세에 물량을 던질 수 있도록 차트를 만들어내는 마켓메이커까지. 이는 공급 측면과 행위 측면의 실패다. 위에서 언급한 세 가지 대응책 중 둘은 수요 측면의 개혁이다.
Merit score는 재량권을 옮길 뿐, 어디로 옮기는지는 불분명하다

Legion의 merit score는 현재로서는 가장 새로운 배분 방식이면서 동시에 평가하기 가장 어려운 방식이다. 파라미터가 공개되어 있지 않기 때문이다. Kraken의 발표는 입력 항목들을 나열하고 각 세일마다 고득점자를 위해 일부 물량이 예약된다고 말한다. 가중치가 얼마인지, 예약된 물량이 선착순 잔여 물량 대비 얼마나 되는지, 갱신 주기가 어떻게 되는지, 신규 계정을 어떻게 취급하는지, 유저가 자신의 점수를 확인하거나 이의를 제기하거나 항의할 수 있는지는 밝히지 않는다. 확보한 자료 어디에서도 이 수치들을 찾을 수 없었다.
각 입력값을 공격 표면으로 생각해보자. 소셜 활동은 원래 시빌 공격의 벡터였다. 포인트 시대는 참여 지표를 그것이 풀어주는 토큰 가치보다 훨씬 적은 비용으로 조작할 수 있음을 대규모로 입증했고, Shoal의 글도 조작된 팔로워 수를 2026년 표준 관행 중 하나로 꼽는다. 온체인 이력은 소급해서 조작할 수는 없지만 이전이 가능하다. 신뢰도 있는 거래 기록을 가진 오래된 지갑은 매입할 수 있고, 그런 시장은 merit score보다 먼저 존재했다. 개발자 기여도는 설득력 있게 위조하기 가장 어려운 입력값이지만 동시에 가장 좁은 항목이기도 하다. 크립토 안에서 검증 가능한 오픈소스 이력을 가진 인구 자체가 적고, 이미 자본이 풍부한 집단이기 때문이다.
구성 자체의 문제는 개별 입력값 문제보다 심각하다. 서로 다른 정도로 파밍 가능한 세 가지 신호를 공개되지 않은 가중치로 뒤섞은 점수는, 공격자에게는 명확한 최적화 목표를 주는 반면 정직한 참가자에게는 자신의 행동이 반영되는지 알 방법을 주지 않는다. 포인트 프로그램은 실패했지만 대개 공식을 공개했고, 참가자들이 자신이 무슨 게임을 하고 있는지 가격을 매길 수는 있었다. Merit score는 배분 재량권을 벤처 펀드의 캡테이블에서 외부 누구도 감사할 수 없는 알고리즘으로 옮겨놓은 것이다. 이것이 개선인지 여부는 아무도 공개하지 않은 사실들에 달려 있다.
가장 강력한 반론은 경험적이지만 아직 검증되지 않았다. 개발자와 장기 온체인 참여자에게 가중치를 둔 홀더 기반은, 상환 시계에 쫓기는 펀드나 원가가 거의 0인 파머보다 보유 기간이 길 가능성이 있다. Merit score가 첫날 홀더 집합의 유보가격을 0보다 눈에 띄게 높게 만든다면, 이는 TGE 청산 동학을 정면으로 공격하는 셈이다. 측정 가능한 주장이다. 아무도 그 측정치를 발표하지 않았다.
선착순 잔여 물량은 익숙한 동학을 낯선 옷을 입혀 다시 불러온다. 온체인 벤뉴에서 FCFS는 결국 봇들이 가스 경매로 낙찰받는 방식으로 귀결된다. 거래소에서는 예치금이 있고 지연시간이 낮은 접속을 가진 사람이 낙찰받는 방식으로 귀결된다. 서로 다른 집단이지만 성격은 같다. 배분이 확신이 아니라 인프라로 흘러간다는 것.
이 어느 것도 유통비율 문제는 건드리지 않는다. Merit score는 퍼블릭 물량 매수자의 정체를 결정한다. 그 물량이 전체 공급량 대비 얼마나 되는지, 그 전에 있었던 프라이빗 라운드에 어떤 베스팅 스케줄이 붙어 있는지, 세일이 어떤 FDV를 기준으로 가격을 매기는지에는 아무런 영향을 미치지 않는다. 완벽하게 설계된 merit 배분을 돌리면서도, 프라이빗 캡테이블이 앞으로 2년에 걸쳐 팔아치울 밸류에이션 위에 한 자릿수 유통비율을 얹은 채로 출시할 수 있다.
Futarchy는 창업자 문제를 공격할 뿐, 유통비율 문제를 공격하지 않는다

MetaDAO의 모델은 셋 중 유일하게 매수자가 아니라 발행자를 대상으로 작동한다. 대략적인 메커니즘은, 트레저리 관련 결정이 조건부 마켓을 통해 해결된다는 것이다. 참가자들은 어떤 제안이 통과한다는 가정 하의 ownership coin 가치와 통과하지 않는다는 가정 하의 가치를 놓고 거래하며, 통과-조건부 마켓의 가격이 더 높으면 그 제안이 실행된다. Hanson의 원래 취지는, 시장이 결과에 대한 분산된 정보를 투표가 선호를 집계하는 것보다 더 잘 집계한다는 것이었다.
여기서 설명되는 결과는, 창업팀이 모집한 자본을 일방적으로 운용할 수 없다는 것이다. 이를 ICO에 적용하면, 트레저리는 컨트랙트 레벨에서 잠겨 있고 유일한 인출 경로는 통과된 decision market을 거치는 것뿐이라는 주장이며, 여기서 “unruggable”이라는 표현이 나온다.
집행 메커니즘을 검증할 수는 없었다. 확보한 소스는 ownership coin과 트레저리 락이 기술적으로 어떻게 구현되는지 설명하기 전에 끊겨 있는데, 이 구분은 대단히 중요하다. 결정된 decision market을 거쳐야만 인출 함수가 작동하는 에스크로 컨트랙트에 트레저리가 담겨 있다면 이는 강한 제약이다. decision market의 결과에 따라 운용하기로 약속한 멀티시그에 트레저리가 담겨 있다면 이는 약한 제약이며, 둘의 차이가 이 주장 전체의 핵심이다. 강한 버전이 구현되어 있다고 가정해보자. 그래도 두 가지 실패 모드가 남는다.

수수료 수입은 같은 이벤트 위에서 누적된다. 통합된 운영자는 프라이머리 배분에서 벌고 이후 세컨더리 거래에서 또 번다. 거래 수익은 거래량의 함수이고, TGE 전후의 거래량은 지속 가능한 가격이 아니라 변동성의 함수다. 이 두 수익원을 모두 가진 거래소는 토큰의 12개월 경로에는 별 노출이 없고 첫 주 회전율에는 상당한 노출이 있다. 이는 부정행위를 주장하는 것이 아니다. 수익이 어디에 놓여 있는지에 대한 묘사다.

아직 존재하지 않는 측정치들
플랫폼 단위의 수익률 코호트를 발표한 곳은 아직 없다. Echo, Kraken Launch, MetaDAO를 통해 런칭된 토큰들이 시장 전체 평균인 -54% 대비 어떤 성과를 냈는지 분류한 자료는 없으며, 그것이 없는 한 이 플랫폼들이 결과를 개선했다고 내세우는 모든 주장은 결과에 관한 주장이 아니라 메커니즘에 관한 주장에 그친다. 이 데이터셋을 만드는 것은 어렵지 않은 일이며, 그것이 없다는 사실 자체가 시사하는 바가 있다.
네 가지 공시가 있다면 시장은 신뢰가 아닌 다른 근거로 이 설계들을 평가할 수 있을 것이다. Legion은 merit score 가중치, 세일별 예약 물량 대 선착순 물량 비율, 이의 제기 절차를 공개할 수 있다. Coinbase는 Echo에서 나온 토큰이 외부 토큰과 동일한 상장 기준으로 검토되는지, 프라이머리 세일 수요 데이터가 자사 상장·트레이딩 부서로부터 차단되어 있는지 밝힐 수 있다. Kraken도 Legion 세일에 대해 마찬가지로 밝힐 수 있다. MetaDAO는 결정된 decision market 없이는 트레저리 인출이 불가능하게 만드는 구체적인 컨트랙트를 제시할 수 있다. 그런 것이 있다는 설명이 아니라.
2027년의 귀인 분석을 어렵게 만들 교란변수도 있다. Blockonomi에 따르면 MegaETH, Polymarket, OpenSea는 하이프에 기대어 런칭하는 대신 사용량과 트랙션 마일스톤을 충족할 때까지 TGE를 미뤄왔다. 발행자들이 독립적으로 더 신중하게 런칭 시점을 정하고 있다면, 다음 코호트의 수익률은 merit score나 futarchy나 거래소 레일과 무관한 이유로 개선될 것이다. 발행자의 신중함과 런칭 메커니즘 개혁을 구분하려면 새 레일 위에서 런칭된 토큰과, 그런 레일 없이 동시대에 런칭된 토큰을 비교해야 하고, 그 비교를 위해서는 누군가 코호트를 구축해야 한다.
가장 명료한 지표는 유통비율이다. Merit score, decision market, 거래소 소유 구조 모두 공급 스케줄의 위 또는 아래에서 작동할 뿐, 공급 스케줄 자체를 바꾸지는 않는다. 이 새로운 레일 위에서 진행되는 세일들이 앞으로도 전체 공급량 기준으로 산정된 밸류에이션 위에 한 자릿수 퍼센트의 유통 물량만 풀고, 이후 2년에 걸쳐 베스팅되는 프라이빗 라운드를 붙인 채로 진행된다면, 개혁은 배분 레이어까지만 도달하고 거기서 멈춘 것이다. 매수자는 더 잘 골라지겠지만 산수는 바뀌지 않는다.

2026年4月12日、Nick Researchという名前で活動するリサーチャーがある数字を投稿し、それをBlockonomiが記事化した。2026年のトークンローンチ全体の平均リターンが-54%前後だという。元データは公開されていない。サンプル期間も、集計対象の基準も、比較に使ったベース価格も、そしてリターンをセール価格から測ったのか、初値から測ったのか、初日終値から測ったのかもわからない。これは監査済みの統計というより、桁感を示す主張として受け止めるべきだろう。
Blockonomiが挙げている個別事例のほうは、簡単には片付けられない。RNBWはICO価格から約89.87%下落した。AZTECはトークン生成イベント(TGE)後に約49.79%下げた。ZAMAはTGE後に約43%を失った。これらに共通するのはセクターでもチェーンでもない。共通しているのは形だ。注目度と流動性がTGEでピークを迎え、その後そろって下降していく一方で、トークン供給量は逆方向に動く。
その形は設計の産物だ。完全希薄化後供給量(FDV)を前提に評価額をつけながら、循環供給のごく一部だけを売り出すローンチ、しかもその裏にセール価格のごくわずかで取得されたベンチャー配分が控えている場合、幅広い市場環境の下で価格は右肩下がりの系列を描く。Blockonomiの情報源はこの構図を「イグジット流動性マシン」と表現しているが、辛辣な言い回しではあるものの、メカニズムの説明としては正確だ。
市場側の対応は、ローンチのスタックを作り直すことだった。そしてその作り直しは、資金調達の場を取引所のバランスシート上へと移してきている。Coinbaseは資金調達プラットフォームEchoに3億7500万ドルを支払った。KrakenはKraken Launchを投入した。これはLegionを基盤とするホワイトラベルのセール製品で、ソーシャル活動、開発者としての貢献、オンチェーン履歴から算出される「メリットスコア」を使ってトークンを配分し、Krakenはこれを欧州のMiCAに準拠したものと位置づけている。MetaDAOはこれとは逆の方向に進み、Solana上でICOローンチパッドを運用しているが、その意思決定を担うのは取引所でも財団でもなく「決定市場」だ。

完全希薄化評価額(FDV)は、トークンの限界価格に将来の全供給量を掛けたものだ。TGE時点で流通可能な供給量がごくわずかしかないと、限界価格は薄い板で取引する意思のある者によって決まる。わずかな純買いでも9桁のFDVを支えることができ、その結果生まれた数字が、以降のあらゆるものの基準点になる。プロジェクト自身のトレジャリー会計、マーケットメイカーとの貸付契約における行使価格、ベンチャーファンドが計上する評価額、そして小口購入者がその資産の価値をどう感じるか、すべてがこの数字を参照する。
問題は、この基準価格が持続しない供給条件のもとで成立している点だ。アンロックのクリフが来るたびに、フロート向けに調整された深さの板へと新規トークンが流れ込む。しかし板の深さは供給総量に見合ったものではない。各クリフで売りに出てくる保有者は、プライベートラウンドで設定された、しばしばセール価格の10分の1以下のコストベースを持つ。それを吸収する買い手はTGE時点のコストベースを持つ。この2つのグループが安定した価格で出会うような市場条件は存在しない。売り手の許容できる最低価格が、構造的に買い手の許容できる価格より低いからだ。
注目度は同じ時計の上で逆方向に進む。上場発表、メディア報道、インセンティブキャンペーン、マーケットメイカーの在庫、これらすべてがTGE前後の数日間に集中する。まさにそのときが板が最も厚く、限界的な買い手が最も多いタイミングだ。そしてそれは構造上、循環供給量が最小になる瞬間でもある。流動性はそのピークから減少し、供給量はその底から増加していく。価格経路は逆方向に動く2つの曲線の商にすぎない。
だからこそこのパターンは無関係なプロジェクト間で再現される。優れたプロダクトを持ち低フロートのチームも、悪いプロダクトを持つチームと同じ供給算術に直面する。BlockonomiはPendleやHyperliquidを引き合いに、プロダクトマーケットフィットを実証したプロジェクトのほうが新規ローンチよりナラティブの強さを保ったと指摘しているが、これはファンダメンタルズが供給メカニズムを覆すのではなく、限界において影響するという見方と整合的だ。ファンダメンタルズが決めるのは、誰がアンロックを吸収するかであって、アンロックが来るかどうかではない。
この点は、ローンチを「修正する」と謳うあらゆる施策を評価するうえで重要な系がある。誰に配分を与えるかを変える改革は需要側に作用するものだ。-54%という診断は供給側の診断である。これらは別種の問題であり、前者を解決しても後者には手が届かない。
ポイントプログラムは、最も保有し続けそうにない人々にトークンを配った

ポイント→エアドロップというミームは、配分をベンチャーファンドから迂回させようとする試みだった。アロケーターに供給を売る代わりに、プロトコルは預け入れ、利用、紹介に対してポイントを発行し、TGEでそれをトークンに変換する。狙っていた結果はユーザーによって構成される保有者層だった。実際に生まれた結果は、期待されるエアドロップ利回りに敏感な層によって選別された保有者層だった。
問題は選別のメカニズムそのものにある。ファーマーは、予想トークン価値を投じた資本・日数で割った値を基準にポイントプログラムへ資本を配分する。この計算は、プロトコル自体への関心を消し去り、出口への感度だけを極端に高める。トークンにおける彼らのコストベースは預け入れの機会費用にすぎず、TGE時点ではすでに埋没している。したがって彼らの留保価格はほぼゼロだ。エアドロップが着地すれば、合理的な行動はそのトークンが今後決して得られないほど厚い板、つまりTGE時点の板に売り込むことになる。
ポイントプログラムはまた、フロート問題を改善するどころか悪化させた。エアドロップされた供給は初日から循環供給としてカウントされ、しかもそのウォレットの所有者はすでに売却を決めている。ローンチは健全な循環比率を謳うことができても、その比率の中身はほぼ全て、留まる理由のない保有者で構成されている。フロートは名目上は大きくても、機能的には売り待ちの行列にすぎない。
有償の公開セールはここで一点だけ、しかもその一点をうまく解決する。既知の価格で送金した買い手にはコストベースが生まれ、コストベースがあれば留保価格はゼロより上になる。これは実在する行動上の違いであり、セールモデルが復活した理由を説明している。
ただし条件がある。有償セールがこの効果を生むのは、セール価格がセカンダリー市場で発見される価格に近い場合に限られる。もしセールが期待される初値より意図的に安く設定されているなら、買い手の経済合理性はファーマーのそれに収束する。安く仕込み、TGEの板に売り、アンロックスケジュールが始まる前に離脱するという動きだ。買い手からすれば、その割引こそがセールに参加する目的であり、割引幅の大きさが、そのセールが保有者を生むのか、それとも再販業者を生むのかを決める。現在のローンチプラットフォーム群のうち、自らが狙う割引幅を公表している例はない。
ローンチスタックが再編された場所

目立つ3つの対応は、取引所との関係において構造的に異なる位置を占めている。
Coinbaseは自らのレールを丸ごと買い取った。Echoの取得価格として報じられたのは3億7500万ドルだった。数字を超えたところでは、この分析のために確認できた公開情報は薄い。Decryptの報道は買収と価格の事実を伝えているものの、取引構造や統合計画、Coinbase側が示した動機については詳しく触れていない。Echoは一般にPlasmaのXPLセールと結び付けて語られるが、入手できたソースからその特定の帰属を裏付けることはできず、確立した事実ではなく未確認の情報として扱うべきだ。確立しているのは、より重要な構造的事実のほうだ。ライセンスを持つ取引所が、いまや一次発行プラットフォームを所有しているという点である。
Krakenはパートナーシップの経路を取った。Kraken LaunchはLegionの技術を基盤に動いており、注目度の高いセールはそれぞれKraken LaunchとLegion自身のオンチェーン会場に同時展開され、セール終了後まもなくKraken上で取引が開始される。Legionはソーシャル活動、開発者としての貢献、オンチェーン履歴、その他非公開の要素を横断してメリットスコアを算出し、各セールの一部枠はそのスコアに基づいてユーザーに配分される。残りは両会場で先着順に配分される。Krakenの発表は、この製品を透明性(隠れたラウンド配分やインサイダー取引の不在)、欧州MiCAを含む枠組みへの準拠、長年のKraken顧客への還元という文脈で位置づけている。Legionの共同創業者Matt O’Connorは、このモデルを「IPOを行う代わりに、企業がコミュニティに向けてオンチェーンでローンチする」ものだと表現している。Krakenのブログはマーケティング文書であり、隠れた配分についての主張は取引所自身による自社製品の説明であって、監査を経た検証結果ではない。
MetaDAOは構造から取引所そのものを取り除いた。同社のローンチパッドは「オーナーシップコイン」と呼ぶものを発行し、生まれたトレジャリーをフューターキー(futarchy)によって統治する。これは経済学者Robin Hansonが2000年に提唱した決定市場モデルで、トークン保有者による投票ではなく市場価格に従って提案の可否が決まる。Shoalの論考が示す売り込み方は、2017年のICO時代が失敗したのは資金調達とその使途を管理する行為が同一だったからであり、市場テストを経なければ支出できないトレジャリーは創業者がそれを流用する能力を奪う、というものだ。
Shoalの記事はアドボカシー(主張)であり、そう読むべきものだ。同時にこれは、2026年のローンチにおける病理を具体的に特定している、この分析の中で唯一のソースでもある。フォロワー数やエンゲージメント指標の偽造、低フロートに対する過大な評価額でのローンチ、有料のティア1取引所上場、そしてインサイダーがリテールの買い注文に売り抜けられるようマーケットメイカーがチャートパターンを操作すること。これらは供給側と行為側の失敗だ。そして上記3つの対応のうち2つは需要側の改革にすぎない。
メリットスコアは裁量を移動させるが、その行き先は明確でない

Legionのメリットスコアは、現行の枠組みの中で最も新しい配分プリミティブであり、同時に最も評価が難しい。パラメータが公開されていないからだ。Krakenの発表は入力カテゴリーの名前は挙げ、各セールの一部枠が高スコア者向けに確保されると述べている。しかし重み付けも、先着枠との比率も、更新頻度も、新規アカウントの扱いも、ユーザーが自分のスコアを閲覧・異議申し立て・上訴できるかどうかも開示していない。入手できた資料の中にこれらの数字は見当たらなかった。
各入力をアタックサーフェスとして考えてみよう。ソーシャル活動は元来からのシビル攻撃のベクトルであり、ポイント時代は、エンゲージメント指標がそこから解錠されるトークンの価値よりも安いコストで大規模に偽造可能であることを証明した。Shoalの論考も、フォロワー数の偽造を2026年の常套手段の一つとして挙げている。オンチェーン履歴は事後的に偽造することはできないが、譲渡は可能だ。信頼に足る取引履歴を持つ古いウォレットは購入でき、その市場はメリットスコアリング以前から存在する。開発者としての貢献は最も説得力を持って偽造しにくい入力だが、同時に最も対象が狭い。暗号資産分野で読み取り可能なオープンソース履歴を持つ人口はそもそも小さく、すでに十分に資本を持っている層でもある。
構成そのものの問題は、個々の入力の問題より深刻だ。異なる度合いでファーム可能な3つのシグナルを、非公開の重みで混ぜ合わせたスコアは、攻撃者には明確な最適化目標を与える一方、正直な参加者には自分の行動がどう評価されるかを知る術を与えない。ポイントプログラムは、あれだけ失敗した割には概ね計算式を公開しており、少なくとも参加者は自分が参加しているゲームの値付けができた。メリットスコアは、配分の裁量をベンチャーファンドのキャップテーブルから、外部の誰も監査できないアルゴリズムへと移すものだ。これが改善なのかどうかは、誰も開示していない事実次第だ。
もっとも説得力のある反論は、実証されてはいないが経験則としてのものだ。開発者や長期のオンチェーン参加者に重みを置いた保有者層は、償還期限に追われるファンドや、コストベースがほぼゼロのファーマーよりも、保有期間が長くなる可能性がある。もしメリットスコアリングが、留保価格が明確にゼロを上回る初日保有者層を生み出すなら、それはTGE時点の清算ダイナミクスに直接対抗することになる。これは測定可能な主張だ。しかし誰もその測定結果を公表していない。
先着順で残る枠は、見慣れないかたちで見慣れたダイナミクスを再導入する。オンチェーンの会場では、先着順はボットが勝つガス代オークションに帰着する。取引所では、資金を入れた口座と低遅延の接続を持つ者に帰着する。母集団は異なるが、性質は同じだ。配分がコンビクション(確信)ではなくインフラに向かう。
これらのどれもフロートには触れない。メリットスコアが決めるのは公開枠の買い手の顔ぶれであって、その枠が総供給量に占める割合にも、それに先立つプライベートラウンドに付されたベスティングスケジュールにも、セールが基準とするFDVにも関係しない。ローンチは完璧に設計されたメリット配分を実行しながら、それでも1桁パーセントのフロートを、プライベートのキャップテーブルがこの先2年をかけて売り込んでいく評価額に対して出荷することができる。
フューターキーは創業者問題を攻撃するが、フロート問題は攻撃しない

MetaDAOのモデルは、3つのうち唯一、買い手ではなく発行者側に作用するものだ。メカニズムを大まかに言えば、トレジャリーの意思決定は条件付き市場を通じて解決される。参加者は「提案が可決された場合」と「否決された場合」それぞれを前提としたオーナーシップコインの価値を取引し、可決前提の市場が否決前提の市場より高値をつければ、提案は実行される。Hansonの元の枠組みは、市場は帰結に関する分散した情報を、投票が選好を集約するよりもよく集約するというものだった。
説明されている帰結は、創業チームが調達資本を一方的に差配できなくなるというものだ。これをICOに適用した主張はこうだ。トレジャリーはコントラクトレベルでロックされ、その唯一の引き出し経路は可決された決定市場を通る。「unruggable(ラグ不能)」という語はここから来ている。
執行のメカニズムを検証することはできなかった。ここで入手できたソースは、オーナーシップコインとトレジャリーロックが技術的にどう実装されているかを説明する手前で途切れており、この区別は非常に重要だ。唯一の引き出し関数が決済済みの決定市場を要求するエスクローコントラクトに保持されているトレジャリーであれば、それは強い制約だ。一方、チームが決定市場の結果に従って運用すると約束しているマルチシグに保持されているトレジャリーであれば、それは弱い制約であり、この二つの違いこそが主張全体を左右する。MetaDAO経由でローンチされた案件を評価する者は、その枠組みではなくコントラクトそのものを読むべきだ。
強い版が実装されていると仮定してみよう。それでも2つの失敗モードが残る。
一つ目は操作コストの問題だ。決定市場が買収に対して持つ耐性は、その厚みに比例してスケールする。トレジャリーが、それを統治する条件付き市場が吸収できる以上の価値を大幅に上回って保有している場合、攻撃者は自己利益に適う提案の可決側を、その提案が自分にとって持つ価値よりも安く買い占めることができる。これはフューターキーに対する標準的な批判であり、まさに賭け金が最も高いところで最も強く効いてくる。操作する価値があるのは大きな提案だからだ。大きなトレジャリーを統治する薄い市場は、一時的な立ち上げ期の課題ではなく構造的な脆弱性だ。
二つ目は指標そのものの問題だ。フューターキーは、条件付き市場が建てられている価値関数を最適化する。もしその関数がオーナーシップコインの価格であれば、このメカニズムは市場の予測期間においてコイン価格を押し上げる決定を体系的に優遇することになる。バイバックや分配は短期の期間軸でうまく値付けされる。研究支出、セキュリティ対策、ゆっくりとしたエコシステム投資は値付けが悪くなる。前者を機械的に優遇するガバナンスシステムは、創業者による資本の流用に対抗する一方で、別の経路でのトレジャリー枯渇に向かって整合してしまう。
オーナーシップコインという枠組みには、他の2つのモデルにはない要素も含まれている。ロックされたトレジャリーへの請求権を表すトークンは、ナラティブに依存しない参照価値、つまりトレジャリー資産をコイン発行数で割った値を持つ。これは執行力を伴う下限ではまったくないが、それでも買い手が計算し、市場価格と比較できる数字であり、低フロートのローンチが提供するものよりは多い。MetaDAOの実装が実際にその請求権を生み出しているかどうかは、まさに途中で切れているソースが確立していない部分だ。
フューターキーもまた、暗号資産ネイティブな実験の外側で、実際の資本配分に大規模に使われた実績はほぼない。理論は2000年にまでさかのぼるが、実践の側は、うまく機能するメカニズムなのか、まだ攻撃されていないだけのメカニズムなのかを見分けられるほどの実績を持っていない。
アンダーライター利益相反、取引所版として再定義

以下の比較は、この分析の中のいずれのソースにも依拠せず、伝統的証券市場に関する一般的な背景知識に基づくものであり、文脈として読んでほしい。
銀行が新規発行を引き受けるとき、その銀行は募集価格を設定し、株式を配分し、手数料を得る。同じ機関が、その株式が後に取引される場をも運営あるいは支配している場合、価格設定と配分をめぐるインセンティブは、もはや発行体の利益のためだけのものではなくなる。20世紀の米国の金融規制は、銀行業務と証券業務の構造的分離、そして新規発行の割り当て方を規律する開示・配分ルールの組み合わせによって、こうした問題に対処しようとした。その分離は不完全であり、後に大幅に撤廃された。そして分離が最も強固だった時期でさえ、人気の高い新規発行をめぐる配分の乱用は繰り返された。ここで重要なのは、その利益相反が構造的なもの、つまり誰か悪意ある人物がその役割を占めることから生じるのではなく、役割の組み合わせそのものから生じると認識されていた点だ。
CoinbaseがEchoを所有していること、KrakenがKraken Launch経由で売られたトークンを上場させていること、これらはその組み合わせを再現している。ここから具体的に4つの経路が生じる。
上場そのものが募集のマーケティングの一部になる。Krakenは、注目度の高いLegionセールから生まれたトークンがセール終了後まもなくKraken上で取引されると述べている。したがってプライマリーセールの買い手は、流通見通しが不確かな資産を評価しているのではない。大手取引所への上場が事前に確約された資産を買っているのだ。その確約には価値があり、セールの運営者自身がそれを供給し、そのぶんセールが成立しうる価格は上がる。取引所は、自らが生み出した需要への対価を、上場アクセスというかたちで自分自身に支払っているのだ。
手数料収入も同じイベント上で積み重なる。統合されたオペレーターはプライマリー配分で稼ぎ、その後セカンダリー取引でも稼ぐ。取引収益は出来高の関数であり、TGE前後の出来高は持続的な価格ではなくボラティリティの関数である。両方の収益源を持つ取引所は、そのトークンの12か月後の値動きに対するエクスポージャーをほとんど持たず、最初の1週間の回転率に対しては大きなエクスポージャーを持つ。これは不正の告発ではない。収益がどこに乗っているかの記述にすぎない。
プライマリーセールは、セカンダリー市場が持たない情報を生み出す。セールを運営する者は、1単位が公開取引される前に、需要曲線全体、配分のウォレットレベルの集中度、買い手の地理的・行動的分布を観察できる。その情報が、運営者自身の上場委員会、自社のトレーディング業務、マーケットメイカーとの関係から遮断されているかどうかは開示の問題だ。ここで検討した資料の範囲では、CoinbaseにもKrakenにも、それに対応する公開開示は存在しない。
上場基準そのものが観察不能になる。もし取引所が、外部発の トークンには一つの基準を、自社のローンチプラットフォーム発のトークンにはより低い基準を適用しているとしても、上場基準自体がすでに裁量的で詳細が公表されていないため、外部の誰もその乖離を検出できない。問題は、取引所が必ず基準を下げるということではない。下げていないことを誰も確認できないということだ。
Krakenがこれらすべてに対して掲げる反論はコンプライアンスだ。発表文はMiCAを引用している。MiCAは認可・開示レジームであり、公開すべき文書、責任、市場濫用行為に関して発行体やサービスプロバイダーに義務を課すものだ。ここでの記録が確立している範囲では、これは歴史的にアンダーライターの利益相反に対処してきたような構造的分離レジームではない。開示レジームは利益相反を可視化し、参加者にそれを値付けさせることで機能する。構造的分離は利益相反そのものを取り除くことで機能する。これらは同じ危険に対処する異なる手段であり、失敗のモードも異なる。開示は、開示される情報が粗すぎたり埋もれすぎたりして行動を変えられないときに失敗する。この資料一式には、Krakenの自社発言以上の、LegionやKraken LaunchのMiCA上の分類やライセンスに関する独立の裏付けは含まれておらず、開示という最低限のベースラインでさえ現時点では未検証だ。
取引所所有を擁護する立場のうち、擁護し得るのは配分の公平性についてではなく、カウンターパーティリスクについての主張だ。評判リスクと法的リスクを負うライセンス取引所は、匿名のオフショアローンチパッドよりも説明責任を果たせるセールの運営者だ。買い手には救済手段、カストディの水準、訴えることのできる主体が与えられる。これは2017年当時のベースラインに対する本物の改善だ。ただしそれは、セールが買い手の利益に沿って値付けされ配分されているかどうかとは直交する話である。
まだ存在しない測定
プラットフォーム単位のリターンのコホートを公表した者はまだいない。Echo、Kraken Launch、MetaDAOを通じてローンチされたトークンが、市場全体の-54%前後という平均に対してどう推移したかの内訳は存在しない。それがない限り、これらのプラットフォームが結果の改善を謳う主張はすべて、結果についての主張ではなくメカニズムについての主張にとどまる。このデータセットの構築自体は難しくない。それが存在しないこと自体が、一つの情報だ。
4つの開示があれば、市場はこれらの設計を信頼以外の何かで評価できるようになるだろう。Legionはメリットスコアの重み、セールごとの確保枠と先着枠の比率、異議申し立ての手続きを公表できるはずだ。Coinbaseは、Echo発のトークンが外部トークンと同じ上場基準で審査されているかどうか、プライマリーセールの需要データが上場・取引部門から遮断されているかどうかを表明できるはずだ。KrakenもLegionのセールについて同じことができるはずだ。MetaDAOは、決定市場が決済されない限りトレジャリーの引き出しが不可能になる仕組みそのものを、説明ではなく特定のコントラクトとして指し示すことができるはずだ。
2027年の帰属分析を難しくする交絡要因もある。BlockonomiはMegaETH、Polymarket、OpenSeaが、話題性ではなく利用実績やトラクション指標を待ってTGEを遅らせていると報じている。もし発行体が独立に、ローンチのタイミングについてより慎重になってきているのだとすれば、次のコホートのリターンは、メリットスコアやフューターキーや取引所レールとは無関係な理由で改善するだろう。発行体側の慎重さとローンチメカニズムの改革を切り分けるには、これら新しいレールでローンチされたトークンを、同時期にそれなしでローンチされたトークンと比較する必要があり、その比較のためにはコホートを構築する誰かが必要だ。
最も読み取りやすい指標はフロートだ。メリットスコアも、決定市場も、取引所所有も、いずれも供給スケジュールの上流あるいは下流で作用するだけで、供給スケジュールそのものを変えるわけではない。これら新しいレール上で走るセールが、今後も1桁パーセントの供給しか放出しないまま、フルサプライを前提とした評価額をつけ、その裏で今後2年かけてベスティングするプライベートラウンドを抱え続けるなら、改革は配分レイヤーに届いたところで止まったということだ。買い手はより良く選ばれるようになるだろうが、算術のほうは変わらない。

Blockonomi引用的具体案例则更难以轻描淡写地否定。RNBW的交易价格较其ICO价格低了约89.87%。AZTEC在代币生成事件后下跌约49.79%。ZAMA在TGE后跌去约43%。这些项目没有共同的赛道或共同的链,有的是共同的形态:关注度和流动性都在TGE时达到顶峰,随后一同衰减,而代币供应量则朝相反方向移动。
这种形态是设计的产物。一场发行,如果只按全部供应量估算出的估值,出售总供应量中很小一部分的流通比例,背后又有以出售价一小部分成本获得的风投份额支撑,那么无论市场处于何种状况,都会产生一条下行的价格曲线。Blockonomi的信源将这种结构描述为”退出流动性机器”,这话说得不厚道,但作为机制描述是准确的。

让低流通盘自我清算的算术

完全稀释估值(FDV)是代币的边际价格乘以其最终全部供应量。当TGE时只有一小部分供应量可交易,边际价格就由那些愿意在浅薄盘口中成交的人决定。适度的净买入即可撑起一个九位数的FDV,而这个数字随即成为下游一切事物的参照点:项目自身的财务核算、做市商借贷协议中的执行价、风投基金的估值标记,以及散户买家对这项资产价值的认知。
问题在于,这个参照价格是在不会持续存在的供应条件下确立的。每一次解锁悬崖都会向一个盘口深度是按流通盘(而非总量)校准的账本中投放新代币。每次解锁到来的卖方持有的成本基础是在私募轮中设定的,往往比发行价低一个数量级。前来承接的买方,其成本基础则是在TGE时设定的。这两组人不存在能在稳定价格上相遇的市场条件,因为卖方能接受的最低价格,结构性地低于买方的心理底价。
关注度则沿着同一条时间线朝相反方向运行。上币公告、媒体报道、激励活动、做市商库存,全都集中在TGE前后那几天。那时账本最深,边际买家也最多。而按照结构设计,那也恰恰是流通供应量最少的时刻。流动性从这一峰值开始下降,供应量则从谷底开始上升。价格路径,就是这两条方向相反的曲线相除的商。
这就是为什么这种模式会在互不相关的项目中反复出现。一个产品优秀、流通盘又低的团队,面对的供应算术,和一个产品糟糕的团队完全一样。Blockonomi指出,Pendle和Hyperliquid这类已证明具备产品市场契合度的项目,其叙事韧性优于新上线的项目,这与”基本面在边际上确实起作用,但无法压过供应机制”的判断一致。基本面决定了谁来承接解锁抛压,而不决定解锁是否会到来。
这一推论对评估任何号称能修复发行机制的方案都很重要。改变谁能获得分配份额的改革,作用于需求侧。而-54%这个诊断结果,是一个供应侧的诊断。这是两个不同的问题,解决第一个不会触及第二个。
积分计划把代币分给了最不可能持有它的人

积分换空投的模式,是试图绕开风投基金来重新分配代币。协议不再向配售方出售份额,而是根据存款、使用量或推荐行为发放积分,再在TGE时将积分兑换为代币。预期结果是形成一个由用户组成的持有者群体。实际结果却是一个按”对预期空投收益的敏感度”筛选出来的持有者群体。
问题出在筛选机制本身。刷分者根据”预期代币价值除以所占用的资金天数”来分配资本到积分计划中。这种计算方式使刷分者对协议本身毫无兴趣,却对退出时机极其敏感。他们持有代币的成本基础,是存款的机会成本,这个成本很小,且在TGE时早已沉没。因此他们的心理底价接近于零。空投一旦落地,理性的做法就是卖进这枚代币一生中最深的那个盘口——也就是TGE当天的盘口。
积分计划还让流通盘问题变得更糟而非更好。空投的供应量从第一天起就计入流通量,躺在那些早已决定要卖的钱包里。一场发行可以宣称拥有健康的流通比例,而这个比例几乎完全由没有理由继续持有的持有者构成。流通盘名义上很大,实际上却是一条排队待卖的队伍。
付费公售恰好解决了其中一个问题,而且解决得不错。一个按已知价格打款购买的买家是有成本基础的,成本基础会产生高于零的心理底价。这是一种真实存在的行为差异,也解释了为什么发行制会重新回归。
需要说明的是,付费公售只有在售价接近二级市场发现的价格时,才能产生这种效果。如果售价被刻意定得低于预期开盘价,买家的经济学就会趋同于刷分者:低价买入,卖进TGE的盘口,在解锁计划开始前退出。从买家的角度看,折价正是购买的意义所在,而折价的大小决定了这场公售究竟培育出的是持有者还是转手者。目前这批发行平台没有一家公布过自己设定的目标折价幅度。
发行体系重组到了哪里

三个引人注目的应对方案,在与交易所的结构关系上各不相同。
Coinbase直接买下了自己的通道。据报道Echo的收购价为3.75亿美元。除了这个数字,本文能查到的公开记录相当有限:Decrypt的报道确认了收购和价格,但没有详细说明交易结构、整合计划或Coinbase的官方说辞。Echo广泛被认为与Plasma的XPL发行相关联,但我们无法从现有信源中核实这一具体归属,应视为未经证实而非既定事实。可以确定的结构性事实是:一家持牌交易所如今拥有了一个一级发行平台。
Kraken走的是合作路线。Kraken Launch运行在Legion的技术之上,每一场引人关注的发行都会同时部署在Kraken Launch和Legion自己的链上平台,交易在公售结束后不久便在Kraken开放。Legion综合社交活跃度、开发者贡献、链上历史及若干未披露的因素计算出一个”品质分”,每场公售中会有一部分份额按该分数分配给用户,其余部分则在两个平台上按先到先得的方式分配。Kraken的公告将这款产品定位为围绕透明度打造:不存在隐藏的轮次分配和内部交易,符合包括欧洲MiCA在内的监管框架,并回馈长期的Kraken客户。Legion联合创始人Matt O’Connor将这一模式描述为”公司向社区链上发行,而不是走IPO那一套”。Kraken的博客是一份营销文件,关于隐藏分配的说法是交易所对自家产品的自我表述,而非经审计的结论。
MetaDAO把交易所从整个结构中拿掉了。它的发行平台发行所谓的”所有权代币”(ownership coins),并通过futarchy(决策市场治理)来治理由此形成的资金库——这是经济学家Robin Hanson在2000年提出的一种决策市场模型,提案的通过与否由市场定价决定,而非由代币持有者投票决定。Shoal的文章阐述的观点是:2017年ICO时代之所以失败,是因为筹钱和支配所筹资金是同一个行为;而一个只能通过市场检验才能动用的资金库,会剥夺创始人挪用资金的能力。
Shoal这篇文章带有倡导色彩,应该以此为前提去读。但它也是本文所有信源中,唯一具体点出2026年发行病症的一个:伪造的粉丝数和互动数据、在低流通盘下按虚高估值发行、付费购买一线交易所上币资格、做市商设计K线形态好让内部人卖给散户。这些是供应侧和行为侧的失败。而上述三个应对方案里,有两个是需求侧的改革。
品质分转移了裁量权,但转到了哪里并不清楚

Legion的品质分是目前这批方案中最新颖的分配机制,也是最难评估的一个,因为其参数并未公开。Kraken的公告说明了输入类别,也提到每场公售会为高分用户保留一部分份额。但它没有披露权重、保留份额相对于先到先得部分的比例、更新频率、对新账户的处理方式,也没说明用户能否看到、质疑或申诉自己的分数。我们在现有材料中找不到这些数字。
不妨把每一项输入都看作一个攻击面。社交活跃度是最早的女巫攻击(sybil)向量;积分时代已经大规模证明了,互动数据可以用远低于其能解锁的代币价值的成本伪造出来,而Shoal的文章也把伪造粉丝数列为2026年的常见操作。链上历史无法追溯性地伪造,但它可以转手:具备可信交易记录的老钱包是可以买到的,而这类钱包的市场早在品质评分出现之前就已存在。开发者贡献是最难令人信服地伪造的输入,也是覆盖面最窄的一项,因为加密行业中拥有可验证开源历史的人本就不多,而且大多已经资本充裕。
比单项输入更严重的是组合问题。一个把三个可伪造程度各不相同的信号、以未披露权重混合起来的分数,会给攻击者一个明确的优化目标,却不会给诚实参与者任何了解”自己的行为是否被计入”的方式。积分计划尽管有种种失败,好歹通常会公布公式,至少让参与者能够为自己参与的这场游戏定价。而品质分把分配裁量权从风投基金的股权表里,转移到了一个外部任何人都无法审计的算法里。这是否算是一种进步,取决于目前无人披露的事实。
最有力的反驳论点是经验性的,但尚未经过检验。一个偏向开发者和长期链上参与者的持有者群体,其持有周期很可能长于受赎回时限约束的基金,也长于成本基础接近于零的刷分者。如果品质评分能够产生一批首日心理底价明显高于零的持有者,就会直接打破TGE清算这一动态。这是一个可以量化的说法。但没人公布过相关测量数据。
先到先得的剩余部分,以一种陌生的外衣重新引入了一个熟悉的动态。在链上平台,先到先得最终演变成由机器人赢得的Gas竞拍。在交易所,它演变成谁资金到位、延迟最低谁就能拿到,这是不同的人群,但特征相同:分配流向了基础设施,而不是信念。
以上这些都没有触及流通盘问题。品质评分决定的是公售份额的买家身份,与该份额占总供应量的比例无关,与在此之前私募轮所附带的归属计划无关,也与公售所参照的FDV无关。一场发行完全可以设计出一套无可挑剔的品质分配机制,同时仍然按照私募股权表在未来两年内要慢慢卖出的估值,配上一个个位数百分比的流通盘。
Futarchy针对的是创始人问题,不是流通盘问题

在这三种模式中,只有MetaDAO的模型作用于发行方而非买方。其机制大致是:资金库决策通过条件市场解决——参与者分别就”提案通过”和”提案失败”两种假设对所有权代币的价值进行交易,如果”通过”这一条件市场定价更高,提案就会执行。Hanson最初的构想是,市场在汇总关于结果的分散信息方面,比投票汇总偏好做得更好。
由此描述出的结果是,创始团队无法单方面支配所募集的资金。应用到ICO上,其主张是:资金库在合约层面被锁定,唯一的提取路径要经过一个通过的决策市场,“unruggable”(不可卷款跑路)这个说法便由此而来。
我们无法核实其执行机制。本文能拿到的信源在解释所有权代币和资金库锁定具体如何技术实现之前就被截断了,而这个区别至关重要。一个资金库如果放在托管合约里,唯一的提取函数需要一个已结算的决策市场触发,那是硬约束。一个资金库如果放在多签钱包里,团队只是承诺按决策市场的结果操作,那是软约束,而这两者之间的差异,正是这套说法的全部关键所在。任何评估MetaDAO发行项目的人,都应该去读合约,而不是读宣传文案。
假设采用的是硬约束版本,仍然存在两种失败模式。
第一种是操纵成本。决策市场对贿赂的抵抗力随其深度而增强。如果一个资金库持有的价值,远超过治理它的条件市场所能吸纳的规模,攻击者就能以低于该提案对自己的价值的成本,买下一个自利提案的”通过”侧份额。这是对futarchy的标准批评,而它恰恰在利益最大的地方最容易失效,因为值得操纵的提案,正是那些体量最大的提案。用浅薄的市场治理庞大的资金库,是一个结构性弱点,而不是暂时的冷启动问题。
第二种是指标问题。Futarchy优化的是条件市场所计价的那个价值函数,无论那是什么。如果这个函数就是所有权代币的价格,这套机制就会系统性地偏向那些能在市场预测的时间窗口内推高代币价格的决策。回购和分红在短期视角下定价很好。研究支出、安全工作、缓慢的生态投资则在短期视角下定价不佳。一个机制性地偏爱前者的治理系统,虽然抵制了创始人挪用资金,但同时也会通过另一条路径导向资金库被耗尽。
“所有权代币”这个说法,确实包含了另外两种模式所没有的东西。一枚代表对被锁定资金库有索偿权的代币,拥有独立于叙事的参照价值:资金库资产除以流通代币数量。这在任何可执行的意义上都算不上一个底价,但至少是一个买家可以计算并与市场价格比较的数字,这比低流通盘发行所提供的东西要多。而MetaDAO的具体实现是否真的产生了这种索偿权,恰恰是那份被截断的信源没有讲清楚的地方。
Futarchy在加密原生实验之外,用于真实规模资本配置的场景也基本没有经过检验。这套理论可以追溯到2000年,但实践积累的时长还不足以区分出”一套有效的机制”和”一套尚未被攻击过的机制”。
承销商利益冲突,套在交易所身上重新讲一遍

以下比较借鉴了关于传统证券市场的一般背景知识,而非本文中的任何具体信源,应作为背景来理解。
当一家银行承销一笔新发行时,它设定发行价、分配份额、收取费用。当同一机构还运营或控制这些股票日后交易的场所时,它在定价和分配上的动机,就不再纯粹是为发行人的利益服务了。20世纪美国金融监管以两种方式应对过这类问题的变体:一是银行与证券业务之间的结构性分离,二是规范新股如何配售的信息披露和分配规则。这种分离并不完美,后来也在很大程度上被拆解,即便在分离最严格的时期,围绕热门发行的分配滥用行为也反复出现。这里的关键点在于,这种利益冲突被认定为结构性的,也就是说,它源于角色的组合方式,而不是占据这些角色的人品行不端。
Coinbase拥有Echo,Kraken挂牌通过Kraken Launch发行的代币,都复现了这种角色组合。由此产生了四条具体的渠道。
上币变成了发行营销的一部分。Kraken表示,通过Legion高调发行的代币,会在公售结束后不久便在Kraken上开始交易。因此,一级公售的买家买的并不是一项分发前景不确定的资产,而是一个已经预先锁定的主流平台上币名额。这个承诺是有价值的,是由公售的运营方提供的,而它会抬高公售能够成交的价格。交易所在用上币准入这种方式,为自己参与创造出来的需求进行自我补偿。
费用收入在同一事件上层层叠加。一个一体化的运营方既能从一级配售中获利,又能从二级交易中获利。交易收入是交易量的函数,而TGE前后的交易量是波动性的函数,而非持久价格的函数。一家同时拥有这两条收入线的交易所,对代币未来十二个月的价格走势几乎没有风险敞口,却对其第一周的换手率有相当大的风险敞口。这不是在指控存在不当行为,只是在描述收入究竟落在哪里。
一级公售会产生二级市场没有的信息。公售的运营方能在任何一份代币公开交易之前,观察到完整的需求曲线、按钱包统计的分配集中度,以及买家的地理和行为分布。这些信息是否与运营方的上币委员会、自营交易业务、做市合作关系之间做了隔离,这是一个信息披露的问题。在本文查阅的材料中,Coinbase和Kraken都没有就此做出任何公开披露。
上币标准变得无法被外界观察。如果一家交易所对外部来源的代币采用一套标准,对自家发行平台的代币采用另一套更低的标准,外界无从察觉这种差异,因为上币标准本身在细节上就是自由裁量且未公开的。问题不在于交易所一定会降低标准,而在于没有人能够核实它没有降低标准。
Kraken对这一切的回应是合规。公告中提到了MiCA。MiCA是一套授权和信息披露制度:它要求发行人和服务提供商在文件发布、法律责任和市场滥用行为方面承担义务。就本文所查到的记录而言,它并不是那种历史上用来应对承销商利益冲突的结构性分离制度。信息披露制度的作用方式是让利益冲突可见,交给参与者自己去定价;结构性分离的作用方式是直接消除利益冲突。这是两种针对同一风险的不同工具,各有各的失效方式,而信息披露一旦所披露的信息过于粗糙或被埋得太深、不足以改变行为,就会失效。现有材料中,除了Kraken自己的说法之外,没有独立信源确认Legion或Kraken Launch的MiCA分类或牌照情况,所以就连信息披露这条底线目前也未经核实。
关于交易所自持发行平台,站得住脚的说法关乎交易对手风险,而非分配公平性。一家有声誉和法律风险敞口的持牌交易所,比一家匿名的离岸发行平台,更是一个负责任的公售运营方。买家能获得追索权、托管标准,以及一个可以被起诉的实体。相较于2017年的基准,这是真正的进步。但这与公售的定价和分配是否符合买家利益,是两码事。
尚不存在的度量
没有人公布过按平台划分的回报数据集。目前没有任何拆分数据显示,通过Echo、Kraken Launch或MetaDAO发行的代币,相对于全市场约-54%的平均水平表现如何,而在此之前,这些平台关于”改善了结果”的一切说法,都只是关于机制而非结果的说法。构建这样一个数据集并不困难,而它至今缺失,本身就说明了问题。
有四项披露,能让市场依据机制以外的东西来评估这些设计。Legion可以公布品质分的权重、每场公售中保留份额与先到先得份额的比例,以及一套申诉流程。Coinbase可以说明Echo发行的代币是否与外部代币按同一套上币标准审核,以及一级公售的需求数据是否与其上币和交易业务做了隔离。Kraken可以就Legion的公售做同样的说明。MetaDAO可以直接指出那份”没有一个已结算的决策市场就无法提取资金库”的具体合约,而不是仅仅描述有这样一份合约。
还有一个会让2027年归因变得困难的混杂因素。Blockonomi报道称,MegaETH、Polymarket和OpenSea都推迟了各自的TGE,等待使用量和用户增长里程碑达标后再发行,而不是趁着炒作势头上线。如果发行方正在独立地变得更审慎,选择更合适的时机发行,那么下一批数据的回报表现会有所改善,但原因与品质分、futarchy或交易所通道都无关。要把发行方的自律,与发行机制改革区分开来,需要把这些新通道上发行的代币,与同一时期没有使用这些新通道发行的代币做对比,而这需要有人去构建这个对照组。
最容易辨识的单一指标是流通盘。品质评分、决策市场和交易所自持,全都作用于供应计划的上游或下游,却都没有改变供应计划本身。如果在这些新通道上运行的公售,仍然按照全部供应量确定的估值,只释放个位数百分比的流通供应,而私募轮的份额还要在未来两年慢慢解锁,那么这场改革就只到达了分配层面,止步于此。买家会被更好地筛选,但算术本身不会改变。

El 12 de abril de 2026, un investigador que publica bajo el nombre Nick Research difundió una cifra que Blockonomi reportó después: el retorno promedio de los lanzamientos de tokens de 2026 se sitúa cerca de -54%. El dataset subyacente no es público. No sabemos la ventana de la muestra, el umbral de inclusión, el precio base utilizado, ni si los retornos se miden desde el precio de venta, el precio de apertura o el cierre del primer día. Hay que tratarlo como una estimación de orden de magnitud, no como una estadística auditada.
Los casos individuales que cita Blockonomi son más difíciles de descartar. RNBW cotizó alrededor de 89,87% por debajo de su precio de ICO. AZTEC cayó cerca de 49,79% después de su token generation event. ZAMA perdió alrededor de 43% tras el TGE. Lo que los conecta no es un sector compartido ni una chain compartida. Es una forma compartida: la atención y la liquidez alcanzan su pico en el TGE y luego declinan juntas, mientras la oferta de tokens se mueve en dirección contraria.
Esa forma es un resultado de diseño. Un lanzamiento que vende un pequeño porcentaje circulante de la oferta total a una valoración que implica la oferta completa, respaldado por asignaciones de venture capital adquiridas a una fracción del precio de venta, va a producir una serie de precios descendente bajo un amplio rango de condiciones de mercado. La aritmética que hace que un float bajo se autoliquide

La valoración totalmente diluida (FDV) es el precio marginal de un token multiplicado por toda su oferta eventual. Cuando solo una pequeña fracción de esa oferta es transable en el TGE, el precio marginal lo fija quien esté dispuesto a operar en un libro de órdenes delgado. Una cantidad modesta de compra neta puede sostener una FDV de nueve cifras, y ese número resultante se convierte en el punto de referencia para todo lo que viene después: la contabilidad de tesorería del propio proyecto, los precios de ejercicio en los acuerdos de préstamo con market makers, la marca que llevan los fondos de venture capital, y la percepción del comprador minorista sobre cuánto vale el activo.
El problema es que esta referencia de precio se establece bajo condiciones de oferta que no perduran. Cada cliff de unlock entrega tokens nuevos a un libro de órdenes cuya profundidad fue calibrada para el float, no para el total. Los vendedores que llegan en cada cliff tienen un costo base fijado en una ronda privada, a menudo un orden de magnitud por debajo del precio de venta. Los compradores que llegan a absorberlos tienen un costo base fijado en el TGE. No existe condición de mercado bajo la cual esos dos grupos se encuentren en un precio estable, porque el precio mínimo aceptable del vendedor es estructuralmente más bajo que el del comprador.
La atención se mueve en sentido contrario en el mismo reloj. Los anuncios de listado, la cobertura mediática, las campañas de incentivos y el inventario de los market makers se concentran todos en los días alrededor del TGE. Es cuando el libro de órdenes está más profundo y el comprador marginal es más numeroso. También es, por construcción, el momento de mínima oferta circulante. La liquidez declina desde ese pico mientras la oferta aumenta desde su mínimo. La trayectoria del precio es el cociente de dos curvas moviéndose en direcciones opuestas.
Por eso el patrón se reproduce en proyectos sin relación entre sí. Un equipo con buen producto y float bajo enfrenta la misma aritmética de oferta que un equipo con uno malo. Blockonomi señala que los proyectos con product-market fit demostrado, citando a Pendle y Hyperliquid, retuvieron mejor su fuerza narrativa que los lanzamientos más nuevos, lo cual es consistente con que los fundamentos importan en el margen sin anular la mecánica de la oferta. Los fundamentos determinan quién absorbe los unlocks. No determinan si los unlocks llegan.
El corolario importa para evaluar cualquier cosa que pretenda arreglar los lanzamientos. Una reforma que cambia quién recibe una asignación opera del lado de la demanda. El diagnóstico del -54% es un diagnóstico del lado de la oferta. Son problemas distintos, y resolver el primero no toca el segundo.
Los programas de puntos distribuyeron tokens entre quienes menos probablemente los mantendrían

La meta de puntos-a-airdrop fue un intento de esquivar a los fondos de venture capital en la distribución. En lugar de vender oferta a allocators, un protocolo emitía puntos por depósitos, uso o referidos, y luego convertía esos puntos en tokens en el TGE. El resultado buscado era una base de holders compuesta por usuarios. El resultado real fue una base de holders seleccionada por su sensibilidad al rendimiento esperado del airdrop.
El mecanismo de selección es el problema. Un farmer asigna capital a un programa de puntos con base en el valor proyectado del token dividido entre los días-capital comprometidos. Ese cálculo hace que al farmer le sea indiferente el protocolo en sí y muy sensible a la salida. Su costo base en el token es el costo de oportunidad del depósito, que es pequeño y ya está hundido para el momento del TGE. Su precio de reserva, por lo tanto, está cerca de cero. Cuando el airdrop llega, el movimiento racional es vender en el libro más profundo que el token tendrá jamás, que es el que existe en el TGE.
Los programas de puntos también empeoraron el problema del float en lugar de mejorarlo. La oferta distribuida vía airdrop cuenta como circulante desde el día uno y se sienta en billeteras cuyos dueños ya decidieron vender. Un lanzamiento puede anunciar un porcentaje circulante saludable mientras ese porcentaje está compuesto casi enteramente por holders sin razón para quedarse. El float es nominalmente grande y funcionalmente una fila de espera.
Las ventas públicas pagadas resuelven exactamente una cosa aquí, y la resuelven bien. Un comprador que transfirió dinero a un precio conocido tiene un costo base, y un costo base produce precios de reserva por encima de cero. Esa es una diferencia conductual real y explica por qué el modelo de venta volvió.
La salvedad es que una venta pagada solo produce ese efecto si el precio de venta está cerca del precio que descubre el mercado secundario. Si la venta se fija deliberadamente por debajo de un precio de apertura esperado, la economía del comprador converge con la del farmer: adquirir barato, vender en el libro del TGE, salir antes de que empiece el calendario de unlocks. El descuento es el punto de la venta desde la perspectiva del comprador, y el tamaño de ese descuento determina si la venta produce holders o revendedores. Nadie en la cohorte actual de plataformas de lanzamiento ha publicado el descuento que persigue.
Dónde se reensambló el stack de lanzamientos

Las tres respuestas prominentes ocupan posiciones estructuralmente distintas respecto al exchange.
Coinbase compró su riel directamente. El precio reportado por Echo fue $375 millones. Más allá del número, el registro público disponible para este análisis es escaso: la cobertura de Decrypt establece la adquisición y el precio sin detallar la estructura del acuerdo, los planes de integración, o la justificación declarada por Coinbase. Echo está ampliamente asociado con la venta de XPL para Plasma, pero no pudimos verificar esa atribución específica con las fuentes disponibles aquí, y debe tratarse como no confirmada en lugar de establecida como hecho. Lo que sí está establecido es el hecho estructural que importa: un exchange licenciado ahora posee una plataforma de emisión primaria.
Kraken tomó la ruta de la asociación. Kraken Launch corre sobre la tecnología de Legion, y cada venta de alto perfil se despliega simultáneamente en Kraken Launch y en el venue propio de Legion onchain, con el trading abriendo en Kraken poco después de que cierra la venta. Legion calcula un puntaje de mérito a partir de actividad social, contribuciones de desarrollo, historial onchain y otros factores no especificados, y una porción reservada de cada venta se asigna a usuarios según ese puntaje. El blog de Kraken es un documento de marketing, y las afirmaciones sobre asignaciones ocultas son la caracterización propia del exchange sobre su producto, no un hallazgo auditado.
MetaDAO eliminó al exchange de la estructura. Su launchpad emite lo que llama ownership coins y gobierna la tesorería resultante mediante futarchy, un modelo de mercados de decisión propuesto por el economista Robin Hanson en 2000, en el cual las propuestas se aprueban o rechazan según el precio de mercado en lugar de votos de holders de tokens. El argumento, articulado en el análisis de Shoal, es que la era de las ICO de 2017 fracasó porque recaudar dinero y controlar el uso de esos fondos eran el mismo acto, y que una tesorería que solo puede gastarse pasando una prueba de mercado le quita al fundador la capacidad de extraerla.
El texto de Shoal es de advocacy, y vale la pena leerlo como tal. También es la única fuente en este análisis que identifica las patologías de los lanzamientos de 2026 con algo de especificidad: conteos de seguidores y métricas de engagement falsificados, lanzamientos a valoraciones infladas contra un float bajo, listados pagados en exchanges de primer nivel, y market makers diseñando patrones de gráfico que permiten a los insiders salir hacia las órdenes de compra minoristas. Esos son fallos del lado de la oferta y de la conducta. Dos de las tres respuestas mencionadas son reformas del lado de la demanda.
Los puntajes de mérito mueven la discrecionalidad, y no está claro hacia dónde

El puntaje de mérito de Legion es el primitivo de asignación más novedoso del conjunto actual, y el más difícil de evaluar, porque sus parámetros no están publicados. El anuncio de Kraken nombra las categorías de entrada y dice que una porción de cada venta se reserva para los puntajes más altos. No divulga los pesos, el tamaño de la porción reservada en relación con el resto por orden de llegada, la cadencia de actualización, el tratamiento de cuentas nuevas, ni si un usuario puede ver, cuestionar o apelar su propio puntaje. No pudimos localizar esas cifras en el material disponible.
Consideremos cada entrada como una superficie de ataque. La actividad social fue el vector sybil original; la era de los puntos demostró a escala que las métricas de engagement pueden fabricarse por menos del valor de los tokens que desbloquean, y el texto de Shoal enumera los seguidores falsos entre las prácticas estándar de 2026. El historial onchain no se puede fabricar retroactivamente, pero sí es transferible: billeteras envejecidas con historiales de transacciones creíbles pueden comprarse, y el mercado para ellas es anterior al merit scoring. Las contribuciones de desarrollo son la entrada más difícil de falsificar de forma convincente y también la más estrecha, ya que la población de personas con historial legible de código abierto en cripto es pequeña y ya está bien capitalizada.
El problema de la composición es peor que cualquier entrada individual. Un puntaje que mezcla tres señales farmeables en distintos grados con pesos no divulgados le da a un atacante un objetivo de optimización específico y no le da a un participante honesto forma de saber si su comportamiento cuenta. Los programas de puntos, con todos sus fallos, generalmente publicaban sus fórmulas, lo cual al menos permitía a los participantes ponerle precio al juego que estaban jugando. Un puntaje de mérito reubica la discrecionalidad de asignación desde el cap table de un fondo de venture capital hacia un algoritmo que ninguna parte externa puede auditar. Si eso es una mejora depende de hechos que nadie ha divulgado.
El contraargumento más fuerte es empírico y no ha sido probado. Una base de holders ponderada hacia desarrolladores y participantes onchain de larga duración plausiblemente tiene horizontes de tenencia más largos que un fondo operando contra un reloj de redención o un farmer con un costo base cercano a cero. Si el merit scoring produce un conjunto de holders del primer día cuyos precios de reserva están materialmente por encima de cero, atacaría directamente la dinámica de liquidación del TGE. Esa es una afirmación medible. Nadie ha publicado la medición.
El remanente por orden de llegada reintroduce una dinámica conocida con ropaje distinto. En un venue onchain, el FCFS se resuelve en una subasta de gas ganada por bots. En un exchange, se resuelve en quien tenga un balance financiado y una conexión de baja latencia, que es una población distinta con la misma característica: la asignación va hacia la infraestructura, no hacia la convicción.
Nada de esto toca el float. El merit scoring determina la identidad de los compradores en el tramo público. No tiene incidencia sobre qué porción de la oferta total representa ese tramo, sobre el calendario de vesting de las rondas privadas que lo precedieron, ni sobre la FDV contra la que se valora la venta. Un lanzamiento puede correr una asignación por mérito perfectamente diseñada y aun así lanzar con un float de un solo dígito contra una valoración que el cap table privado va a pasar dos años vendiendo.
La futarchy ataca el problema del fundador, no el problema del float

El modelo de MetaDAO es el único de los tres que opera sobre el emisor en lugar de sobre el comprador. El mecanismo, en resumen, es que las decisiones de tesorería se resuelven mediante mercados condicionales: los participantes operan sobre el valor de un ownership coin bajo el supuesto de que una propuesta se aprueba y bajo el supuesto de que se rechaza, y la propuesta se ejecuta si el mercado condicionado a la aprobación cotiza más alto. El planteamiento original de Hanson fue que los mercados agregan información dispersa sobre consecuencias mejor de lo que los votos agregan preferencias sobre ellas.
La consecuencia descrita es que un equipo fundador no puede dirigir unilateralmente el capital recaudado. Aplicado a una ICO, la afirmación es que la tesorería queda bloqueada a nivel de contrato y su única vía de retiro pasa por un mercado de decisión ya resuelto, de donde viene el término unruggable.
No pudimos verificar el mecanismo de cumplimiento. La fuente disponible aquí está truncada antes de explicar cómo se implementan técnicamente los ownership coins y el bloqueo de tesorería, y la distinción importa enormemente. Una tesorería mantenida en un contrato de custodia cuya única función de retiro requiere un mercado de decisión ya liquidado es una restricción dura. Una tesorería mantenida en un multisig que el equipo se comprometió a operar según los resultados de los mercados de decisión es una restricción blanda, y la diferencia entre ambas es toda la afirmación. Cualquiera que evalúe emisiones lanzadas por MetaDAO debería leer los contratos en lugar del discurso.
Asumamos que se implementa la versión dura. Quedan dos modos de fallo.
El primero es el costo de manipulación. La resistencia de un mercado de decisión a un soborno escala con su profundidad. Si una tesorería mantiene sustancialmente más valor del que los mercados condicionales que la gobiernan pueden absorber, un atacante puede comprar el lado condicionado a la aprobación de una propuesta que le conviene por menos de lo que esa propuesta vale para él. Esta es la crítica estándar a la futarchy y se sostiene con más fuerza justamente donde están en juego las apuestas más altas, ya que las propuestas que vale la pena manipular son las grandes. Mercados delgados gobernando una tesorería grande son una vulnerabilidad estructural, no un problema temporal de bootstrapping.
El segundo es el problema de la métrica. La futarchy optimiza cualquier función de valor en la que estén denominados los mercados condicionales. Si esa función es el precio del ownership coin, el mecanismo va a favorecer sistemáticamente decisiones que eleven el precio del coin dentro del horizonte de pronóstico del mercado. Las recompras y distribuciones cotizan bien en horizontes cortos. El gasto en investigación, el trabajo de seguridad y la inversión lenta en el ecosistema cotizan mal. Un sistema de gobernanza que mecánicamente prefiere lo primero está alineado contra la extracción del fundador y simultáneamente alineado hacia el agotamiento de la tesorería por otra vía.
El enfoque del ownership coin sí contiene algo que los otros dos modelos no tienen. Un token que representa un derecho sobre una tesorería bloqueada tiene un valor de referencia independiente de la narrativa: activos de tesorería divididos entre coins en circulación. Eso no es un piso en ningún sentido exigible, pero es un número que un comprador puede calcular y comparar contra el precio de mercado, lo cual es más de lo que ofrece un lanzamiento de float bajo. Si la implementación de MetaDAO produce efectivamente ese derecho es exactamente lo que la fuente truncada no establece.
La futarchy también sigue siendo, en gran medida, no probada para la asignación de capital real a escala fuera de experimentos nativos de cripto. La teoría data de 2000 y la práctica no tiene un historial lo suficientemente largo como para distinguir un mecanismo que funciona de un mecanismo que aún no ha sido atacado.
El conflicto del underwriter, reformulado para exchanges

La siguiente comparación se apoya en antecedentes generales sobre mercados de valores tradicionales, no en ninguna fuente de este análisis, y debe leerse como contexto.
Cuando un banco suscribe una nueva emisión, fija el precio de oferta, asigna las acciones y cobra una comisión. Cuando esa misma institución también opera o controla el venue donde esas acciones luego se negocian, sus incentivos en torno al precio y la asignación dejan de estar puramente alineados con los intereses del emisor. La regulación financiera estadounidense del siglo XX abordó versiones de esto mediante una combinación de separación estructural entre funciones bancarias y de valores, y reglas de divulgación y asignación que gobernaban cómo se colocaban las nuevas emisiones. La separación fue imperfecta y luego se desmanteló en buena medida, e incluso en los períodos en que era más fuerte, los abusos de asignación en ofertas calientes se repetían. El punto relevante es que el conflicto fue reconocido como estructural, es decir, que surge de la combinación de roles y no de actores malintencionados ocupándolos.
Que Coinbase posea Echo y que Kraken liste tokens vendidos a través de Kraken Launch reproduce esa combinación. Se derivan cuatro canales específicos.
El listado se convierte en parte del marketing de la oferta. Kraken afirma que los tokens de las ventas de Legion de alto perfil cotizan en Kraken poco después de la venta. Un comprador en la venta primaria, por lo tanto, no está evaluando un activo con perspectivas de distribución inciertas; está comprando un listado precomprometido en un venue importante. Ese compromiso vale algo, lo suministra el operador de la venta, y eleva el precio al que la venta puede colocarse. El exchange se está compensando a sí mismo, en acceso al listado, por la demanda que ayudó a crear.
Los ingresos por comisiones se acumulan sobre el mismo evento. Un operador integrado gana en la asignación primaria y luego en el trading secundario. El ingreso por trading es función del volumen, y el volumen alrededor de un TGE es función de la volatilidad, no del precio duradero. Un exchange con ambas líneas de ingreso no tiene exposición financiera a la trayectoria del token a doce meses y sí una exposición considerable a su rotación de la primera semana. Eso no es una acusación de mala conducta. Es una descripción de dónde se sitúa el ingreso.
La venta primaria genera información que el mercado secundario no tiene. Quien opera la venta observa la curva de demanda completa, la concentración de asignaciones a nivel de billetera, y la distribución geográfica y conductual de los compradores antes de que se negocie públicamente una sola unidad. Si esa información está aislada del comité de listados del operador, de sus propias operaciones de trading y de sus relaciones de market making, es una cuestión de divulgación. No existe divulgación pública que la aborde, ni para Coinbase ni para Kraken, en el material revisado aquí.
Los estándares de listado se vuelven inobservables. Si un exchange aplica un umbral a tokens originados externamente y uno más bajo a los tokens de su propia plataforma de lanzamiento, ninguna parte externa puede detectar la divergencia, porque los criterios de listado ya son discrecionales y no se publican en detalle. El conflicto no es que el exchange necesariamente vaya a bajar el umbral. Es que nadie puede verificar que no lo haya hecho.
La contraargumentación de Kraken frente a todo esto es el cumplimiento normativo. El anuncio cita MiCA. MiCA es un régimen de autorización y divulgación: impone obligaciones a emisores y proveedores de servicios respecto a documentación publicada, responsabilidad y conducta frente al abuso de mercado. No es, hasta donde establece el registro disponible aquí, un régimen de separación estructural del tipo que históricamente abordó los conflictos de underwriting. Los regímenes de divulgación funcionan haciendo visible un conflicto y dejando que los participantes le pongan precio. La separación estructural funciona eliminando el conflicto. Son instrumentos distintos que abordan el mismo riesgo con modos de fallo distintos, y la divulgación falla específicamente cuando la información divulgada es demasiado gruesa o está demasiado enterrada como para cambiar el comportamiento. El material revisado no contiene confirmación independiente de la clasificación regulatoria o la licencia MiCA de Legion o Kraken Launch más allá de la declaración propia de Kraken, así que incluso la línea base de divulgación está actualmente sin verificar.
La versión defendible del argumento a favor de la propiedad por parte del exchange tiene que ver con el riesgo de contraparte, no con la equidad de la asignación. Un exchange licenciado con exposición reputacional y legal es un operador de venta más responsable que un launchpad anónimo offshore. Los compradores obtienen recurso legal, estándares de custodia y una entidad que puede ser demandada. Eso es una mejora genuina respecto a la línea base de 2017. Es ortogonal a si la venta se valora y se asigna en interés del comprador.
Las mediciones que aún no existen
Nadie ha publicado una cohorte de retornos a nivel de plataforma. No hay un desglose de cómo se comportaron los tokens lanzados a través de Echo, Kraken Launch o MetaDAO frente al promedio de mercado de aproximadamente -54%, y sin eso, cada afirmación que estas plataformas hacen sobre mejorar resultados es una afirmación sobre mecanismo, no sobre resultado. Ese dataset es sencillo de construir y su ausencia es en sí misma informativa.
Cuatro divulgaciones le permitirían al mercado evaluar estos diseños sobre algo distinto a la confianza. Legion podría publicar los pesos del puntaje de mérito, la proporción entre reservado y FCFS por venta, y un procedimiento de apelación. Coinbase podría declarar si los tokens originados en Echo se revisan bajo los mismos criterios de listado que los tokens externos y si los datos de demanda de la venta primaria están aislados de sus funciones de listado y trading. Kraken podría hacer lo mismo para las ventas de Legion. MetaDAO podría señalar el contrato específico que hace imposible un retiro de tesorería sin un mercado de decisión ya resuelto, en lugar de la descripción de uno.
También hay un factor de confusión que va a dificultar la atribución en 2027. Blockonomi reporta que MegaETH, Polymarket y OpenSea han retrasado sus TGEs a la espera de hitos de uso y tracción en lugar de lanzar sobre el hype. Si los emisores se están volviendo independientemente más disciplinados sobre cuándo lanzan, la siguiente cohorte de retornos va a mejorar por razones no relacionadas con el merit scoring, la futarchy o los rieles de los exchanges. Distinguir la disciplina del emisor de la reforma del mecanismo de lanzamiento va a requerir comparar tokens lanzados en los nuevos rieles contra tokens contemporáneos lanzados sin ellos, y esa comparación requiere que alguien construya la cohorte.
El indicador más legible es el float. El merit scoring, la futarchy y la propiedad por parte de exchanges operan río arriba o río abajo del calendario de oferta sin cambiarlo. Si las ventas que corren sobre estos nuevos rieles siguen liberando porcentajes de un solo dígito de la oferta a valoraciones fijadas por la oferta total, contra rondas privadas con vesting a lo largo de los siguientes dos años, entonces la reforma llegó a la capa de asignación y se detuvo ahí. Los compradores van a estar mejor elegidos y la aritmética va a seguir intacta.
