거래소 밖 결제(off-exchange settlement)는 FTX식 실패 유형 하나를 제거했지만 나머지는 그대로 남겨두었다. ClearLoop, Interchange, BitGo의 거래상대방 리스크를 짚어본다.

Introduction

BitMEX’s announcement of Zodia Custody’s Interchange, dated 20 April 2026, describes two features in the same product. Client collateral sits in cold, segregated custody inside what Zodia calls a Trading Vault, is mirrored to BitMEX for trading purposes rather than transferred, and settles daily in BTC, ETH, USDC or USDT. Once mirrored, the same client can access BitMEX’s full derivatives suite, including up to 250x leverage.

Both statements are accurate and point in opposite directions. Off-exchange settlement exists because FTX held customer assets it was free to move. The design answer was to stop sending assets to the venue at all. But a settlement network that supports 250x leverage, and that increasingly sits alongside loan books and prime brokerage lines, is a credit arrangement operating inside a custody wrapper.

Off-exchange settlement, or OES, is safer than pre-funding an exchange along one specific axis. The critical issue is which axis, and what residual exposure looks like once financing rides on the same rail. Evaluating that exposure requires knowing what a mirrored balance legally is, who can move it and under what conditions, how long the unsettled window runs, and which legal entity extends credit against the collateral.

Public documentation on these points is thin. Copper’s ClearLoop product page is a marketing page with a partner-executive quote. The FalconX partnership announcement that would document ClearLoop’s financing extension returned a 404 when we tried to retrieve it. BitGo’s prime brokerage page carries a single headline fragment about OCC approval to convert to a federally chartered national trust bank, with no supporting detail. The BitMEX post is the most substantive of the four and still describes the mirroring mechanism in product language rather than legal terms. Where the public record is empty below, we state that directly.

What pre-funding actually cost

Before OES, an institution that wanted to trade size on a centralized venue sent the collateral to the venue. The exchange held the private keys, credited an internal ledger balance, and margined positions against that entry. Client assets and exchange assets lived in the same wallets and, in the failure cases the industry later documented, on the same balance sheet. FTX’s collapse in November 2022 is the reference point because the commingling was not incidental to a hack or a market move. Customer collateral was available to the operator as a funding source, and the internal ledger entry that clients treated as ownership turned out to be an unsecured claim.

That structure produced two distinct costs that separate along mechanism lines.

The first is credit exposure on idle collateral. A fund running a basis trade might hold a large multiple of its required margin at a venue simply to avoid liquidation risk during volatility, and to be able to add. Every dollar of that buffer was an unsecured loan to the exchange, earning nothing, exposed to operator behaviour the client could not observe. OES targets this directly. If collateral stays in a segregated vault at a third-party custodian and only the margin entitlement is communicated to the venue, the buffer is no longer on the venue’s balance sheet.

The second cost is exposure on positions themselves. A derivatives position generates variation margin. Someone is owed money by someone else continuously, and that obligation exists regardless of where the collateral is custodied. A trader with a large unrealised gain at a venue is a creditor of that venue for the gain, whether the underlying collateral sits in the venue’s hot wallet or in a Zodia vault in the UK. OES compresses this exposure by settling frequently rather than eliminating it.

The distinction matters because vendor framing tends to collapse the two. The claim that assets never leave custody applies to the first cost while remaining silent on the second.

The mirror is a permission, not a transfer

The word doing the most work across all three architectures is mirroring. The BitMEX post says collateral is held in the Zodia Trading Vault and mirrored to BitMEX, remaining in cold segregated custody at every point of the trade until settlement, with automated settlement running through an Interchange Trading Vault and Settlement Wallet. What that describes structurally is an attested balance: the custodian locks a defined quantity of assets and signals to the venue that the assets are locked and allocated to that client’s account at that venue. The venue credits margin against the attestation. No on-chain transfer to the venue occurs at trade time.

Three structural consequences follow from this design.

The mirrored balance is a contractual construct, not a cryptographic one. Whether the venue holds a pledge, a security interest, a right under a tri-party agreement, or something closer to a bailment with an irrevocable instruction is determined by the documentation between custodian, venue, and client. That classification determines priority in an insolvency proceeding, and it is not disclosed publicly for any of the three networks. A locked balance in a custodian’s vault is not self-executing. Contractual terms must make the lock enforceable against the client, and must make the release enforceable against the venue.

Settlement cadence sets the size of the residual credit window. Interchange settles daily, per BitMEX. Between settlement cycles, accrued variation margin is unsettled. A client who is up on the day holds a claim against the venue for that amount, backed by nothing but the venue’s solvency. A client who is down owes the venue, and the venue’s recourse is the locked collateral. The exposure has not been removed; it has been resized from the full posted balance to roughly one settlement period of net variation margin plus whatever slippage occurs during a liquidation. That is a bounded improvement, and its magnitude is a direct function of cadence. Daily settlement on a venue offering 250x products creates a materially different exposure than daily settlement on a spot venue.

The custodian acts as an agent of the venue’s collateral claim, not as a neutral vault. For mirroring to support leverage, the venue must be able to reach the locked collateral when a position is liquidated, without asking the client. That means the custodian has agreed in advance to execute transfer instructions from the venue under specified conditions. The client’s protection is therefore not that the custodian controls the keys. It is that the conditions under which the custodian must act are narrow, verifiable, and correctly implemented. If a venue’s liquidation engine misprices a position or acts on a corrupted index, the custodian will still move the assets, because the custodian’s legal obligation at that moment is to honour the instruction.

A further mechanism remains undocumented in public sources. Networks that connect a single custodied pool to multiple venues advertise capital efficiency. Efficiency across venues requires either that a client allocates exclusive slices of collateral per venue, in which case the gain is limited to not pre-funding, or that entitlements at different venues overlap against a shared pool. The second case creates a netting problem when stress hits, since two venues liquidating the same client simultaneously would both instruct against the same assets. We could not determine from public documentation which model ClearLoop or Interchange uses.

Three networks, and what their public documents do not say

The three architectures anchoring this market differ in custodial structure, regulatory anchor, and how far each has pushed into financing. They also differ sharply in how much is verifiable.

Several figures circulate about ClearLoop’s scale, including throughput on the order of $50 billion per month across roughly eight venues with multi-custodian support from Komainu and BitGo. None of these appear on Copper’s public product page, and we could not verify them against primary disclosure. They may well be accurate. They should not be treated as confirmed, and an institution sizing counterparty limits against a network’s claimed throughput should ask for the attested number rather than the marketed one.

The same applies to financing claims. ClearLoop Loans and a FalconX direct-market-access leverage line are key elements of the ClearLoop structure because they represent where custody separation meets credit extension, yet the announcement documenting them is not retrievable. Zodia’s reported prime brokerage tie-up with Hidden Road is absent from the BitMEX post entirely. BitGo’s Go Network and the reported first IPO by a crypto custodian are likewise unevidenced in what we could retrieve, leaving only the OCC headline fragment, without a date or a statement of whether conversion is complete.

What the retrieved sources do establish is that these are institutional-perimeter products. Interchange is limited to eligible mutual Zodia and BitMEX institutional or professional clients in select jurisdictions. That restriction is itself a risk control, since it constrains the population that can be simultaneously liquidated through the rail, while also constraining the network’s growth.

Two insolvencies, two very different unwinds

The primary diagnostic is the failure walk-through across each leg of the arrangement.

If the venue fails

This is the case OES was built for and the case it handles best. Client collateral is on-chain under the custodian’s control, in a segregated vault, outside the venue’s wallets and outside its estate. A withdrawal freeze at the venue does not trap the collateral, because the collateral was never at the venue.

The residual exposures are narrower but real. Unsettled variation margin owed to the client is an unsecured claim against the estate. Open positions cannot be closed at a venue in administration, so a client running a hedge with a long at one venue and a short at another loses one leg while remaining exposed on the other, with collateral locked behind both. And the mechanical question of who releases the mirror is genuinely unresolved in public documentation. If the venue must consent to unlocking allocated collateral under normal operation, then the custodian needs a unilateral release right conditioned on a defined event of default. Defining that event, and proving it has occurred, is a legal process with a timeline measured in weeks or longer, not blocks. Assets that are safe from the estate can still be immobile for a long period.

If the custodian fails

This case receives far less attention and introduces more branches. Insolvency of the custodial entity is the branch most amenable to structural protection: assets held in segregated trust arrangements are, in principle, not property of the estate, and a UK-regulated custodian or a federally chartered national trust bank operates under rules designed to make that true in practice. A national trust charter, if BitGo’s conversion is completed as stated, brings federal examination and capital requirements that a state trust charter may not match, though we could not confirm the scope of the approval from the retrieved page.

Operational failure is the more dangerous branch. A key compromise, a ransomware event, a court-ordered freeze, or a signing infrastructure outage does not require the custodian to be insolvent. It only requires the custodian to stop attesting balances and processing settlement instructions. The moment attestation stops, every connected venue is holding margin credit it can no longer verify or enforce. The rational venue response is to suspend the affected accounts and, where positions are open and unsettled margin is accruing, to liquidate. That would happen across all venues connected to that custodian at once, to all clients using that custodian, in the same hour.

That creates a concrete contagion mechanism that did not exist under pre-funding. When collateral sat at the venue, a custodian’s operational status remained separate from trade margining. Mirroring makes a custodian’s availability a live input to margin adequacy at every venue it connects to.

A third failure surface sits between the two. The network layer, meaning the attestation bus, allocation logic, and settlement orchestration, is separate from the vault. Copper’s reported multi-custodian support, with Komainu and BitGo custody alongside Copper’s own, implies this separation. A network-layer outage with all custodians healthy would freeze collateral mobility without endangering title, which is the mildest of the three scenarios and likely the most frequent.

Financing on top of the settlement rail

The reported extension of these networks into lending alters the risk profile beyond custody.

Credit against mirrored collateral introduces distinct mechanics. A lender extending a loan against assets in a segregated vault needs enforceable recourse to those assets on default. If the lender takes only a lien and the assets never move, the arrangement is clean and the client’s position remains close to the OES base case. If the lender takes possession, or takes the right to reuse the collateral to fund its own book, the client becomes an unsecured creditor of the lender for the excess, and the segregated vault no longer isolates risk as intended.

Rehypothecation is standard practice in prime brokerage. Financing spreads are thin, and the economics of a lending book generally depend on the collateral being productive. When a settlement network offers loans at rates competitive with exchange margin, funding must originate from either a well-capitalised balance sheet accepting a thin spread, or collateral reuse. The historical contrast is clear: hedge fund clients of Lehman Brothers International (Europe) whose assets had been rehypothecated ranked as unsecured creditors in administration, and recoveries took years. Clients whose assets remained segregated experienced a different outcome.

The counterargument is that regulated custodial entities face structural constraints against reuse. A trust bank holding assets in a fiduciary capacity, or a UK-regulated custodian operating under client asset rules, generally cannot treat custodied property as its own funding. That constraint protects the assets held by the regulated entity, but financing is frequently extended by an affiliate outside the trust perimeter. FalconX providing leverage against collateral in a Copper vault, or Hidden Road providing prime services against collateral in a Zodia vault, involves at least three legal entities and at least two sets of documentation. Whether the credit provider’s claim reaches inside the custodial ring-fence, and on what conditions, is entity-level detail that none of the retrieved sources address. We flag this as unresolved rather than resolved unfavourably.

OES also does not reduce market risk. A client at 250x remains at 250x regardless of custody arrangement. In a fast liquidation cascade, the venue’s engine closes positions and the custodian releases collateral against the venue’s instruction. The path of the cascade, the slippage, and the auto-deleveraging behave as they would with pre-funded margin. The custody structure changes the resolution procedure, not the market event. Presenting collateral protection and high leverage as complementary features of one product describes the mechanics accurately while conflating two separate risks.

A clearing layer without a clearinghouse

If a handful of providers sit as common collateral infrastructure across venues that otherwise compete and share no risk, the market has developed a clearing layer without establishing a clearinghouse.

A central counterparty concentrates risk deliberately and balances it through structural mechanisms: membership standards, initial margin models, a mutualised default fund, a defined loss waterfall, and a resolution regime. Concentration enables multilateral netting and orderly default management. Nothing in the retrieved documentation for ClearLoop, Interchange, or BitGo describes a default fund, a loss-sharing waterfall, or member loss mutualisation. These networks appear to operate as bilateral collateral arrangements sharing a common operator. That combination carries the systemic footprint of a CCP without its loss-absorbing machinery, an inference drawn from the absence of disclosure. Public detail on insurance coverage, capital buffers, and guarantee arrangements at all three providers was unavailable in retrieved sources.

Consolidation into regulated entities offers clear advantages. A market where institutional collateral concentrates in a UK-regulated custodian whose shareholders include Standard Chartered, or in an entity approved to become a federally chartered national trust bank, faces stricter supervision than one where collateral is scattered across offshore venues lacking an examination regime. Capital requirements, segregation rules, and periodic examination address structural vulnerabilities evident in 2022. Concentration into supervised entities converts diffuse, unobservable risk into concentrated, observable risk.

That argument does not resolve correlation risk. A venue integrated with several OES networks depends on all of them for the portion of its margin book each carries. A fund using one custodian across eight venues makes that custodian a single point of failure for its trading operation, contradicting standard diversification practices. Because no public data exists on institutional volume flowing through these providers, the chokepoint hypothesis cannot currently be tested empirically; it remains a structural condition awaiting disclosure.

Diligence requirements for counterparties

The questions that follow from this analysis are concrete and largely unanswered by vendor material:

  • Which legal instrument governs the mirrored balance at each venue, and where does the venue’s claim rank in that venue’s insolvency?
  • What events trigger the custodian’s unilateral right to unlock allocated collateral without venue consent, and how long does establishing such an event take?
  • Under what conditions must the custodian execute a venue’s transfer instruction, and what verification, if any, does the custodian perform before acting?
  • Can the same collateral back entitlements at more than one venue simultaneously, and if so, which party absorbs the shortfall when two venues instruct at once?
  • Which legal entity extends credit under any financing product, does it sit inside or outside the custodial ring-fence, and does its documentation permit reuse of client collateral?
  • What insurance or capital stands behind the custodian’s own operational failure, as distinct from its insolvency?

These questions were standard for tri-party repo and prime brokerage arrangements before crypto markets formed, with answers detailed in documentation rather than marketing copy. Crypto implementations currently rely on mechanism terms such as mirrored balances that lack settled legal definitions.

The central condition to monitor is settlement cadence relative to leverage. Daily settlement was calibrated for spot and modestly levered derivatives collateral. As venues push mirrored collateral into products offering triple-digit leverage, and as networks extend credit against the same pool, the unsettled window becomes the binding exposure rather than a minor friction. If cadence tightens toward intraday or continuous settlement as leverage grows, the architecture holds. If leverage and lending expand while cadence remains daily, residual credit risk will widen through counterparties outside the client’s direct selection.

OES는 특정한 하나의 축에서는 거래소에 선입금하는 방식보다 안전하다. 관건은 어느 축인지, 그리고 같은 레일 위에서 금융이 작동할 때 남는 리스크가 어떤 모습인지다. 이 리스크를 평가하려면 미러링된 잔고가 법적으로 무엇인지, 누가 어떤 조건에서 그것을 움직일 수 있는지, 미정산 구간이 얼마나 지속되는지, 어느 법인이 담보를 근거로 신용을 제공하는지를 알아야 한다.

이 지점들에 대한 공개 자료는 빈약하다. Copper의 ClearLoop 제품 페이지는 파트너 임원의 인용문이 담긴 마케팅 페이지다. ClearLoop의 신용 제공을 문서화했을 FalconX 제휴 발표는 조회 시 404 오류가 떴다. BitGo의 프라임 브로커리지 페이지에는 OCC 승인을 받아 연방 인가 국립신탁은행으로 전환한다는 헤드라인 한 문장만 있고 뒷받침하는 세부 내용은 없다. BitMEX 게시물이 넷 중 가장 내용이 충실하지만, 이마저도 미러링 메커니즘을 법적 용어가 아니라 상품 용어로 설명한다. 공개 기록이 비어 있는 부분은 그대로 명시한다.

선입금이 실제로 치른 대가

OES 이전에는 규모 있는 거래를 하려는 기관이 담보를 거래소로 보냈다. 거래소가 개인키를 보유하고, 내부 장부에 잔고를 기록하며, 그 항목을 기준으로 포지션에 마진을 부과했다. 고객 자산과 거래소 자산은 같은 지갑에, 그리고 업계가 나중에 문서화한 실패 사례들에서는 같은 대차대조표 위에 존재했다. 2022년 11월 FTX 붕괴가 기준점이 되는 이유는 그 자산 혼합이 해킹이나 시장 변동에 부수적으로 일어난 게 아니었기 때문이다. 고객 담보는 운영사가 쓸 수 있는 자금원이었고, 고객이 소유권으로 여겼던 내부 장부 항목은 결국 무담보 채권으로 드러났다.

이 구조는 메커니즘 선에 따라 갈라지는 두 가지 별개의 비용을 낳았다.

첫째는 유휴 담보에 대한 신용 리스크다. 베이시스 트레이드를 운용하는 펀드는 변동성 국면에서의 청산 리스크를 피하고 추가 진입 여력을 확보하기 위해 필요 증거금의 몇 배에 달하는 자금을 거래소에 예치해두곤 했다. 이 완충분의 모든 달러는 거래소에 대한 무담보 대출이었고, 아무 수익도 내지 못했으며, 고객이 관찰할 수 없는 운영사의 행동에 노출되어 있었다. OES는 바로 이 부분을 겨냥한다. 담보가 제3자 커스터디언의 분리된 볼트에 머물고 마진 권리만 거래소에 통지된다면, 그 완충분은 더 이상 거래소의 대차대조표에 올라가지 않는다.

둘째는 포지션 자체에 대한 리스크다. 파생상품 포지션은 변동 마진을 발생시킨다. 항상 누군가는 누군가에게 돈을 빚지고 있으며, 이 의무는 담보가 어디에 보관되어 있는지와 무관하게 존재한다. 거래소에서 큰 미실현 이익을 보유한 트레이더는 그 이익만큼 해당 거래소의 채권자다. 기초 담보가 거래소의 핫월렛에 있든 영국의 Zodia 볼트에 있든 마찬가지다. OES는 이 노출을 없애는 게 아니라 정산을 자주 함으로써 압축할 뿐이다.

이 구분이 중요한 이유는 벤더의 프레이밍이 흔히 둘을 뭉뚱그리기 때문이다. 자산이 커스터디를 떠난 적이 없다는 주장은 첫 번째 비용에는 해당하지만 두 번째 비용에 대해서는 침묵한다.

미러링은 이전이 아니라 권한 부여다

세 아키텍처 전체에서 가장 많은 일을 하고 있는 단어는 _미러링_이다. BitMEX 게시물은 담보가 Zodia Trading Vault에 보관되고 BitMEX로 미러링되며, 정산 시점까지 거래의 모든 단계에서 콜드 상태로 분리 보관된 채 유지되고, 자동 정산이 Interchange Trading Vault와 Settlement Wallet을 통해 실행된다고 설명한다. 구조적으로 이것이 의미하는 바는 증명된 잔고다. 커스터디언이 특정 수량의 자산을 잠그고, 그 자산이 잠겨서 해당 거래소의 해당 고객 계정에 할당되었다는 신호를 거래소에 보낸다. 거래소는 그 증명을 근거로 마진을 부여한다. 거래 시점에 거래소로의 온체인 이전은 발생하지 않는다.

이 설계에서 세 가지 구조적 귀결이 따라온다.

미러링된 잔고는 암호학적 구성물이 아니라 계약상 구성물이다. 거래소가 보유하는 것이 질권인지, 담보권인지, 삼자 계약상의 권리인지, 아니면 철회 불가능한 지시가 딸린 임치에 가까운 것인지는 커스터디언, 거래소, 고객 간 문서에 의해 결정된다. 이 분류는 도산 절차에서의 우선순위를 결정하지만, 세 네트워크 중 어느 곳도 이를 공개하지 않는다. 커스터디언 볼트 안의 잠긴 잔고는 자동으로 집행되지 않는다. 계약 조항이 그 잠금이 고객에 대해 집행 가능하도록, 그리고 그 해제가 거래소에 대해 집행 가능하도록 만들어야 한다.

정산 주기가 남는 신용 노출 구간의 크기를 결정한다. BitMEX에 따르면 Interchange는 매일 정산한다. 정산 주기 사이에는 누적된 변동 마진이 미정산 상태로 남는다. 그날 이익을 보고 있는 고객은 그 금액만큼 거래소에 대한 채권을 보유하며, 이는 거래소의 지급 능력 외에는 아무 담보도 없다. 손실 중인 고객은 거래소에 빚을 지고, 거래소는 잠긴 담보에 대해 구상권을 갖는다. 노출이 제거된 게 아니라, 전체 예치 잔고에서 대략 한 정산 주기치의 순변동 마진과 청산 과정에서 발생하는 슬리피지 수준으로 재조정된 것이다. 이는 제한적인 개선이며, 그 크기는 정산 주기의 직접적인 함수다. 250배 상품을 제공하는 거래소에서의 일일 정산은 현물 거래소에서의 일일 정산과는 실질적으로 다른 노출을 만든다.

커스터디언은 중립적인 금고가 아니라 거래소의 담보 청구권을 대행하는 대리인으로 행동한다. 미러링이 레버리지를 지지하려면, 포지션이 청산될 때 거래소가 고객에게 묻지 않고 잠긴 담보에 접근할 수 있어야 한다. 이는 커스터디언이 특정 조건 하에서 거래소로부터의 이전 지시를 실행하기로 사전에 동의했다는 뜻이다. 따라서 고객의 보호 장치는 커스터디언이 키를 통제한다는 사실이 아니라, 커스터디언이 행동해야 하는 조건이 좁고, 검증 가능하며, 올바르게 구현되어 있다는 사실이다. 거래소의 청산 엔진이 포지션 가격을 잘못 매기거나 오염된 지수에 따라 행동하더라도, 커스터디언은 여전히 자산을 이동시킨다. 그 순간 커스터디언의 법적 의무는 그 지시를 이행하는 것이기 때문이다.

또 하나의 메커니즘은 공개 자료에서 확인되지 않은 채 남아 있다. 하나의 커스터디 풀을 여러 거래소에 연결하는 네트워크는 자본 효율성을 내세운다. 여러 거래소에 걸친 효율성은 고객이 거래소별로 배타적인 담보 슬라이스를 할당하는 경우(이 경우 이득은 선입금하지 않는다는 정도에 그친다)이거나, 서로 다른 거래소에서의 권리가 하나의 공유 풀에 겹쳐서 걸리는 경우 중 하나를 요구한다. 후자의 경우 스트레스 상황에서 두 거래소가 동시에 동일 고객을 청산하며 동일 자산에 대해 지시를 내리는 넷팅 문제가 생긴다. 공개 문서만으로는 ClearLoop이나 Interchange가 어느 모델을 쓰는지 판단할 수 없었다.

세 네트워크, 그리고 공개 문서가 말하지 않는 것

이 시장을 지탱하는 세 아키텍처는 커스터디 구조, 규제 기반, 그리고 금융 쪽으로 얼마나 밀고 들어갔는지에서 각기 다르다. 검증 가능한 정보의 양에서도 큰 차이가 있다.

ClearLoop의 규모에 대해 여러 수치가 돌고 있는데, 월간 약 500억 달러 규모의 처리량이 약 8개 거래소에 걸쳐 있고 Komainu와 BitGo의 멀티 커스터디언 지원이 있다는 식이다. 이 중 어느 것도 Copper의 공개 제품 페이지에는 나오지 않으며, 우리는 이를 1차 공시 자료로 검증할 수 없었다. 이 수치들이 정확할 수도 있다. 하지만 확인된 것으로 취급해서는 안 되며, 네트워크가 주장하는 처리량을 근거로 거래상대방 한도를 설정하려는 기관이라면 마케팅상의 숫자가 아니라 증명된 숫자를 요구해야 한다.

같은 원칙이 신용 관련 주장에도 적용된다. ClearLoop Loans와 FalconX 직접 시장 접근(DMA) 레버리지 라인은 ClearLoop 구조에서 핵심 요소인데, 이는 커스터디 분리와 신용 제공이 맞닿는 지점을 대표하기 때문이다. 그러나 이를 문서화했을 발표문은 조회되지 않는다. Zodia와 Hidden Road의 프라임 브로커리지 제휴로 알려진 내용은 BitMEX 게시물에 전혀 나오지 않는다. BitGo의 Go Network와 암호화폐 커스터디언 최초의 IPO로 알려진 내용도 우리가 조회할 수 있었던 자료에서는 증명되지 않으며, 남는 것은 날짜도, 전환 완료 여부에 대한 언급도 없는 OCC 헤드라인 조각뿐이다.

조회된 자료가 확인해주는 것은 이들이 기관 전용 경계 안의 상품이라는 점이다. Interchange는 선별된 관할권 내 Zodia와 BitMEX 양쪽의 자격을 갖춘 기관 또는 전문 고객으로 제한된다. 이 제한 자체가 하나의 리스크 통제 장치다. 이 레일을 통해 동시에 청산될 수 있는 대상 규모를 제약하는 동시에, 네트워크의 성장도 제약하기 때문이다.

두 개의 도산, 완전히 다른 두 개의 청산 과정

핵심 진단은 이 구조의 각 다리마다 실패 시나리오를 짚어보는 것이다.

거래소가 실패할 경우

이것이 OES가 만들어진 이유이자, OES가 가장 잘 처리하는 시나리오다. 고객 담보는 온체인 상에서 커스터디언의 통제 아래 분리된 볼트에 있으며, 거래소의 지갑 밖에, 그리고 거래소의 재산 범위 밖에 있다. 거래소의 인출 동결이 담보를 가두지 못하는 이유는 애초에 담보가 거래소에 있었던 적이 없기 때문이다.

남는 노출은 좁지만 실재한다. 고객에게 지급되어야 할 미정산 변동 마진은 파산 재단에 대한 무담보 채권이다. 관리 절차에 들어간 거래소에서는 열려 있는 포지션을 청산할 수 없으므로, 한 거래소에서 롱, 다른 거래소에서 숏으로 헤지를 운용하던 고객은 한쪽 다리를 잃으면서도 다른 쪽 노출은 그대로 안고, 담보는 양쪽 모두에 잠겨 있게 된다. 그리고 누가 미러링을 해제하느냐는 기계적 질문은 공개 문서상 실제로 미해결이다. 통상적인 운영에서 거래소의 동의가 있어야 할당된 담보의 잠금을 해제할 수 있다면, 커스터디언은 채무불이행 사유가 정의된 조건에서만 발동하는 일방적 해제권을 가지고 있어야 한다. 그 사유를 정의하고, 발생했음을 입증하는 것은 블록 단위가 아니라 몇 주 혹은 그 이상의 시간이 걸리는 법적 절차다. 파산 재단으로부터 안전한 자산이라도 오랫동안 움직이지 못할 수 있다.

커스터디언이 실패할 경우

이 시나리오는 훨씬 적은 주목을 받으며, 더 많은 갈래를 만든다. 커스터디 법인의 도산은 구조적 보호가 가장 잘 통하는 갈래다. 신탁 방식으로 분리 보관된 자산은 원칙적으로 파산 재단의 재산이 아니며, 영국 규제 대상 커스터디언이나 연방 인가 국립신탁은행은 실제로 그렇게 되도록 설계된 규칙 하에서 운영된다. BitGo의 전환이 표방한 대로 완료된다면, 국립신탁 인가는 주 신탁 인가가 갖지 못할 수도 있는 연방 차원의 검사와 자본 요건을 수반한다. 다만 조회된 페이지만으로는 그 승인의 범위를 확인할 수 없었다.

운영상의 실패는 더 위험한 갈래다. 키 유출, 랜섬웨어 공격, 법원 명령에 의한 동결, 서명 인프라 장애 등은 커스터디언이 지급불능 상태여야만 발생하는 게 아니다. 커스터디언이 잔고 증명과 정산 지시 처리를 멈추기만 하면 된다. 증명이 멈추는 순간, 연결된 모든 거래소는 더 이상 검증하거나 집행할 수 없는 마진 신용을 안고 있는 셈이다. 합리적인 거래소의 대응은 해당 계정을 정지시키고, 포지션이 열려 있고 미정산 마진이 쌓이는 곳에서는 청산하는 것이다. 이는 해당 커스터디언에 연결된 모든 거래소에서, 그 커스터디언을 쓰는 모든 고객에 대해, 같은 시간대에 일어난다.

이는 선입금 방식 하에서는 존재하지 않았던 구체적인 전염 메커니즘을 만든다. 담보가 거래소에 있던 시절에는 커스터디언의 운영 상태가 거래 마진과 별개였다. 미러링은 커스터디언의 가용성을 그것이 연결된 모든 거래소에서 마진 적정성의 실시간 입력값으로 만든다.

두 가지 사이에 세 번째 실패 국면이 존재한다. 네트워크 계층, 즉 증명 버스, 할당 로직, 정산 오케스트레이션은 볼트와 분리되어 있다. Copper가 표방하는 멀티 커스터디언 지원, 즉 Komainu와 BitGo의 커스터디가 Copper 자체 커스터디와 나란히 존재한다는 점이 이 분리를 시사한다. 모든 커스터디언이 건전한 상태에서 네트워크 계층 장애만 발생하면 소유권을 위협하지 않으면서 담보 이동성만 동결될 것이며, 이는 세 시나리오 중 가장 온건하고 아마도 가장 흔하게 일어날 상황이다.

정산 레일 위의 금융

이들 네트워크가 대출로 확장되고 있다는 보도는 커스터디를 넘어선 리스크 프로필을 만든다.

미러링된 담보를 근거로 한 신용은 별도의 메커니즘을 만든다. 분리된 볼트에 있는 자산을 근거로 대출을 실행하는 대출자는 채무불이행 시 해당 자산에 대한 집행 가능한 구상권이 필요하다. 대출자가 질권만 취하고 자산이 이동하지 않는다면, 그 구조는 깔끔하며 고객의 상황은 OES의 기본 시나리오에 가깝게 유지된다. 하지만 대출자가 자산의 점유를 취하거나, 자기 장부를 운용하기 위해 담보를 재사용할 권리를 취한다면, 고객은 그 초과분에 대해 대출자의 무담보 채권자가 되며, 분리된 볼트는 더 이상 의도한 대로 리스크를 격리하지 못한다.

재담보(rehypothecation)는 프라임 브로커리지에서 표준적인 관행이다. 금융 스프레드는 얇고, 대출 장부의 경제성은 대개 담보가 생산적으로 활용되는 데 달려 있다. 정산 네트워크가 거래소 마진과 경쟁할 만한 금리로 대출을 제공한다면, 자금 조달은 자본이 넉넉해 얇은 스프레드를 감수할 수 있는 대차대조표에서 나오거나 담보 재사용에서 나올 수밖에 없다. 역사적 대비는 명확하다. Lehman Brothers International (Europe)의 헤지펀드 고객 중 자산이 재담보된 이들은 관리 절차에서 무담보 채권자로 분류되었고, 회수까지 수년이 걸렸다. 자산이 분리 보관되어 있던 고객들은 다른 결과를 겪었다.

이에 대한 반론은 규제받는 커스터디 법인들이 재사용에 대해 구조적 제약을 받는다는 것이다. 수탁 자격으로 자산을 보유하는 신탁은행이나 고객 자산 규칙 하에서 운영되는 영국 규제 대상 커스터디언은 일반적으로 커스터디된 자산을 자기 자금 조달에 쓸 수 없다. 이 제약은 규제받는 법인이 보유한 자산은 보호하지만, 금융은 흔히 신탁 경계 바깥의 계열사가 제공한다. FalconX가 Copper 볼트 내 담보를 근거로 레버리지를 제공하거나, Hidden Road가 Zodia 볼트 내 담보를 근거로 프라임 서비스를 제공하는 구조는 최소 세 개의 법인과 최소 두 세트의 문서를 수반한다. 신용 제공자의 청구권이 커스터디 방화벽 안쪽에 어떤 조건으로 닿을 수 있는지는 법인 단위의 세부사항이며, 조회된 자료 중 어느 것도 이를 다루지 않는다. 우리는 이를 불리하게 해결된 문제가 아니라 미해결 문제로 표시한다.

OES는 시장 리스크를 줄이지도 않는다. 250배 레버리지를 쓰는 고객은 커스터디 구조와 무관하게 여전히 250배다. 빠른 청산 캐스케이드에서는 거래소의 엔진이 포지션을 닫고, 커스터디언은 거래소의 지시에 따라 담보를 해제한다. 캐스케이드의 경로, 슬리피지, 오토디레버리징은 선입금된 마진과 마찬가지로 작동한다. 커스터디 구조가 바꾸는 것은 처리 절차이지 시장 사건 자체가 아니다. 담보 보호와 높은 레버리지를 하나의 상품이 가진 상호보완적인 특징으로 제시하는 것은 메커니즘을 정확하게 서술하는 동시에 별개의 두 리스크를 뒤섞고 있다.

청산소 없는 청산 레이어

소수의 제공업체가 서로 경쟁하고 리스크를 공유하지 않는 여러 거래소에 걸쳐 공통 담보 인프라로 자리 잡는다면, 시장은 청산소 없이 청산 레이어를 만든 셈이 된다.

중앙청산소(CCP)는 의도적으로 리스크를 집중시키고 이를 구조적 장치들로 균형 잡는다. 회원 자격 기준, 개시증거금 모델, 상호출자된 채무불이행 기금, 정의된 손실 워터폴, 그리고 정리 체계가 그것이다. 집중은 다자간 넷팅과 질서정연한 채무불이행 관리를 가능하게 한다. ClearLoop, Interchange, BitGo에 관해 조회된 문서 중 어느 것도 채무불이행 기금, 손실 분담 워터폴, 회원 손실 상호출자를 언급하지 않는다. 이들 네트워크는 공통 운영사를 둔 양자간 담보 계약처럼 작동하는 것으로 보인다. 이 조합은 손실 흡수 장치 없는 CCP의 시스템적 발자국을 지니고 있으며, 이는 공시 부재로부터 도출한 추론이다. 세 제공업체 모두에서 보험 커버리지, 자본 완충, 보증 약정에 대한 공개 세부사항은 조회된 자료에서 확인되지 않았다.

규제받는 법인으로의 통합은 분명한 이점을 제공한다. 기관 담보가 주주에 Standard Chartered를 둔 영국 규제 대상 커스터디언이나, 연방 인가 국립신탁은행으로 승인받은 법인에 집중되는 시장은, 검사 체계가 없는 역외 거래소들에 담보가 흩어져 있는 시장보다 더 엄격한 감독을 받는다. 자본 요건, 분리 규칙, 정기 검사는 2022년에 드러난 구조적 취약점들을 다룬다. 감독받는 법인으로의 집중은 분산되고 관찰 불가능한 리스크를 집중되고 관찰 가능한 리스크로 전환한다.

이 논거가 상관관계 리스크를 해소하지는 못한다. 여러 OES 네트워크와 연동된 거래소는 각 네트워크가 담당하는 마진 장부의 해당 부분에 대해 그 네트워크들 전부에 의존한다. 8개 거래소에서 하나의 커스터디언을 사용하는 펀드는 그 커스터디언을 자신의 트레이딩 운영에 대한 단일 실패 지점으로 만들며, 이는 표준적인 분산 관행과 배치된다. 이들 제공업체를 통해 흐르는 기관 거래량에 대한 공개 데이터가 없기 때문에, 병목 가설은 현재 실증적으로 검증할 수 없으며 공시를 기다리는 구조적 조건으로 남아 있다.

거래상대방을 위한 실사 요건

이 분석에서 도출되는 질문들은 구체적이며, 벤더 자료로는 대부분 답을 얻지 못한다.

  • 각 거래소에서 미러링된 잔고를 규율하는 법적 수단은 무엇이며, 해당 거래소의 도산 절차에서 거래소의 청구권은 어느 순위에 놓이는가?
  • 거래소의 동의 없이 커스터디언이 할당된 담보를 일방적으로 해제할 권리를 발동시키는 사유는 무엇이며, 그러한 사유를 입증하는 데 얼마나 걸리는가?
  • 어떤 조건에서 커스터디언은 거래소의 이전 지시를 실행해야 하며, 실행 전에 커스터디언이 수행하는 검증이 있다면 무엇인가?
  • 동일한 담보가 둘 이상의 거래소에서 동시에 권리를 뒷받침할 수 있는가, 만약 그렇다면 두 거래소가 동시에 지시를 내릴 때 부족분은 누가 흡수하는가?
  • 어느 법인이 각 금융 상품 하에서 신용을 제공하며, 그 법인은 커스터디 방화벽 안에 있는가 밖에 있는가, 그리고 그 문서는 고객 담보의 재사용을 허용하는가?
  • 커스터디언의 도산과는 구별되는 자체 운영 실패에 대해 어떤 보험이나 자본이 뒷받침하는가?

이러한 질문들은 암호화폐 시장이 형성되기 전 삼자간 레포와 프라임 브로커리지 계약에서는 표준이었고, 답은 마케팅 문구가 아니라 문서에 상세히 담겨 있었다. 현재 암호화폐 구현체들은 확립된 법적 정의가 없는 미러링된 잔고 같은 메커니즘 용어에 의존하고 있다.

지켜봐야 할 핵심 조건은 레버리지 대비 정산 주기다. 일일 정산은 현물과 완만하게 레버리지가 걸린 파생상품 담보에 맞춰 설정된 것이다. 거래소들이 미러링된 담보를 세 자릿수 레버리지 상품으로 밀어 넣고, 네트워크들이 같은 풀을 근거로 신용을 확장함에 따라, 미정산 구간은 사소한 마찰이 아니라 핵심 노출이 된다. 레버리지가 늘어남에 따라 주기가 인트라데이나 연속 정산 쪽으로 좁아진다면 이 구조는 유지된다. 레버리지와 대출이 확대되는데 주기가 여전히 일일 단위에 머문다면, 남는 신용 리스크는 고객이 직접 선택하지 않은 거래상대방들을 통해 넓어질 것이다.

BitMEXが2026年4月20日付で発表したZodia CustodyのInterchangeは、ひとつの製品の中にふたつの機能を併記している。クライアントの担保はZodiaが「Trading Vault」と呼ぶコールド・分別管理のカストディに置かれ、取引目的でBitMEXにミラーリングされる(移転ではない)ため、BTC、ETH、USDC、USDTのいずれかで日次決済される。ミラーリングが済めば、同じクライアントは最大250倍のレバレッジを含むBitMEXのデリバティブ商品群にフルアクセスできる。

どちらの記述も正確であり、しかも正反対の方向を指している。オフエクスチェンジ決済(OES)が存在する理由は、FTXが自由に動かせる顧客資産を保有していたことにある。それに対する設計上の答えは、そもそも資産を取引所に送らないことだった。しかし250倍レバレッジを支える決済ネットワーク、しかも融資枠やプライムブローカレッジ・ラインとますます隣接するようになったそれは、カストディという外装をまとった与信取り決めにほかならない。

オフエクスチェンジ決済は、ある特定の軸に沿って見れば、取引所へのプリファンディングより安全である。問われるべきはどの軸なのか、そして同じレールに融資が乗った時点で残るエクスポージャーがどうなるのかという点だ。そのエクスポージャーを評価するには、ミラーリングされた残高が法的に何であるか、誰がどんな条件でそれを動かせるのか、未決済のウィンドウがどれだけ続くのか、そして担保に対してどの法人が与信を供与しているのかを知る必要がある。

これらの点についての公開情報は薄い。CopperのClearLoop製品ページはパートナー企業幹部の引用を添えたマーケティングページに過ぎない。ClearLoopの融資枠拡張を裏付けるはずのFalconXとの提携発表は、取得を試みたところ404を返した。BitGoのプライムブローカレッジページには、連邦認可のナショナル・トラスト・バンクへの転換に関するOCC承認についての見出し断片が一行あるだけで、裏付けとなる詳細はない。BitMEXの投稿は4つの中で最も内容が濃いが、それでもミラーリングの仕組みを法的な言葉ではなく製品としての言葉で説明している。公開情報が空白の箇所については、その旨をそのまま述べる。

プリファンディングが実際に何を犠牲にしていたか

OES以前、中央集権型取引所でサイズのある取引をしたい機関は、担保をその取引所に送っていた。取引所が秘密鍵を保有し、内部台帳の残高を計上し、そのエントリに対してポジションのマージンを設定していた。クライアントの資産と取引所の資産は同じウォレットに、そして業界がのちに実例として文書化した破綻ケースにおいては同じバランスシートに同居していた。2022年11月のFTX崩壊が基準点として使われるのは、その資産の混同がハッキングや相場変動に付随する偶発事象ではなかったからだ。顧客担保は運営者にとって資金源として利用可能な状態にあり、クライアントが所有権だと思っていた内部台帳のエントリは、実は無担保債権にすぎなかった。

この構造は、メカニズムの違いに沿ってふたつの異なるコストを生んでいた。

ひとつ目は、遊休担保に対する信用エクスポージャーだ。ベーシス取引を回すファンドは、ボラティリティ時の清算リスクを避け、かつポジションを追加できるようにするため、必要証拠金の何倍もの資産を取引所に置いていることがある。そのバッファの1ドル1ドルが取引所への無担保融資であり、何も生まず、クライアントには観察できない運営者の行動にさらされていた。OESはこれを直接的に狙い撃ちする。担保が第三者カストディアンの分別ボールトに留まり、証拠金の権利のみが取引所に伝達されるなら、そのバッファはもはや取引所のバランスシート上に存在しない。

ふたつ目のコストは、ポジションそのものに対するエクスポージャーだ。デリバティブポジションは値洗い証拠金(variation margin)を生む。誰かが誰かに継続的に金を借りている状態が常にあり、その債務は担保がどこにカストディされているかとは無関係に存在する。取引所で未実現利益を大きく抱えているトレーダーは、その利益分に関してその取引所の債権者である。原資産の担保が取引所のホットウォレットにあろうと、英国のZodiaボールトにあろうと変わらない。OESはこのエクスポージャーを消すのではなく、決済頻度を上げることで圧縮する。

この区別が重要なのは、ベンダー側の説明がしばしばこのふたつを一緒くたにする傾向があるからだ。「資産はカストディから一切出ない」という主張はひとつ目のコストには当てはまるが、ふたつ目については何も語っていない。

ミラーは移転ではなく許可である

3つのアーキテクチャすべてを通じて最も重い意味を負っている語は「ミラーリング(mirroring)」だ。BitMEXの投稿によれば、担保はZodia Trading Vaultに保管されBitMEXにミラーリングされ、取引の全過程を通じて決済まで一貫してコールドかつ分別管理のカストディに留まり、自動決済はInterchange Trading VaultとSettlement Walletを通じて行われる。これが構造的に示しているのはアテステーション(証明済み)残高だ。カストディアンが一定量の資産をロックし、その資産がロックされ、そのクライアントのその取引所口座に割り当てられていることを取引所に通知する。取引所はそのアテステーションに対して証拠金を計上する。取引時点で取引所への実際のオンチェーン移転は発生しない。

この設計からは3つの構造的帰結が導かれる。

ミラーリングされた残高は暗号的な構成物ではなく、契約上の構成物だ。取引所が保持しているものが質権なのか、担保権益なのか、三者間契約に基づく権利なのか、あるいは撤回不能の指図を伴う寄託に近いものなのか──それはカストディアン、取引所、クライアントの間の文書によって決まる。この分類こそが破綻手続きにおける優先順位を決めるが、3つのネットワークのいずれについても公開されていない。カストディアンのボールト内でロックされた残高は自動執行されるわけではない。契約条項がそのロックをクライアントに対して強制力あるものにし、かつその解除を取引所に対して強制力あるものにしなければならない。

決済頻度は、残存する信用ウィンドウの大きさを決める。BitMEXによれば、Interchangeは日次で決済される。決済サイクルの間、蓄積した値洗い証拠金は未決済のままだ。その日プラスになっているクライアントは、その金額分について取引所に対する債権を保有していることになり、それを裏付けるのは取引所の支払い能力以外に何もない。マイナスになっているクライアントは取引所に借りがあり、取引所の回収手段はロックされた担保である。エクスポージャーは消えたのではなく、投入残高全額からおおよそ1決済期間分の純値洗い証拠金プラス清算時に生じるスリッページ相当へと縮小しただけだ。それは有界な改善であり、その大きさは決済頻度の直接的な関数である。250倍商品を提供する取引所での日次決済は、現物取引所での日次決済とは実質的に異なるエクスポージャーを生む。

カストディアンは中立的な金庫番ではなく、取引所の担保請求権に対するエージェントとして動く。ミラーリングがレバレッジを支えるためには、取引所はポジションが清算される際、クライアントに確認することなくロックされた担保に到達できなければならない。つまりカストディアンは、定められた条件下で取引所からの移転指図を実行することに事前に同意している。したがってクライアントの保護は、カストディアンが鍵を管理していることにあるのではない。カストディアンが行動を義務づけられる条件が狭く、検証可能で、正しく実装されているかどうかにある。取引所の清算エンジンがポジションの値を誤って評価したり、破損したインデックスに基づいて動作したりした場合でも、カストディアンは依然として資産を移動させる。その瞬間のカストディアンの法的義務は指図を履行することだからだ。

さらにもうひとつのメカニズムが公開資料では未文書化のままになっている。ひとつの担保プールを複数の取引所に接続するネットワークは、資本効率の高さを謳う。複数取引所間で効率性を得るには、クライアントが取引所ごとに排他的な担保のスライスを割り当てるか(この場合の利得はプリファンディングを回避しただけに限られる)、あるいは複数の取引所での権利が共有プールに対して重複するかのいずれかしかない。後者の場合、ストレス時にネッティング問題が生じる。同じクライアントを同時に清算しようとする2つの取引所が、同じ資産に対して指図を出すことになるからだ。ClearLoopやInterchangeがどちらのモデルを採用しているかは、公開文書からは判断できなかった。

3つのネットワーク、そしてその公開文書が語らないこと

この市場を支える3つのアーキテクチャは、カストディ構造、規制上の拠り所、そしてどこまで融資に踏み込んでいるかという点で異なる。検証可能性の程度も大きく異なる。

ClearLoopの規模については、月間およそ8取引所にわたり500億ドル規模のスループット、KomainuおよびBitGoによるマルチカストディアン対応といった数字がいくつか出回っている。いずれもCopperの公開製品ページには記載がなく、一次情報での検証もできなかった。数字自体は正確かもしれない。だが確認済みとして扱うべきではなく、あるネットワークの標榜するスループットに対してカウンターパーティ与信枠を設定しようとする機関は、マーケティング上の数字ではなく証明済みの数字を求めるべきだ。

融資に関する主張についても同様だ。ClearLoop LoansとFalconXのダイレクトマーケットアクセス・レバレッジラインは、カストディの分離が信用供与とぶつかる地点を体現しているという意味でClearLoopの構造上の重要要素だが、それを文書化しているはずの発表は取得できなかった。ZodiaのHidden Roadとのプライムブローカレッジ提携については、報道はあるもののBitMEXの投稿には一切記載がない。BitGoのGo Networkと、暗号資産カストディアンとして初のIPOになるとされる件についても、取得できた資料では裏付けが取れず、日付も転換完了の有無も示されないOCCの見出し断片が残るのみだった。

取得資料から確立できるのは、これらが機関投資家向けの限定的な範囲の商品だという点だ。Interchangeは、選定された法域における適格なZodia・BitMEX共通の機関投資家またはプロフェッショナル顧客に限定されている。この制限自体がリスク管理策になっている。同一のレールを通じて同時に清算されうる母集団を制約する一方で、ネットワークの成長も制約しているからだ。

ふたつの破綻、まったく異なる二つの巻き戻し

主要な検証手段は、この取り決めの各レッグに沿った破綻シナリオの精査である。

取引所が破綻した場合

これはOESがまさに想定して設計されたケースであり、最もうまく対処できるケースでもある。クライアント担保はオンチェーン上でカストディアンの管理下にあり、分別管理されたボールトに置かれ、取引所のウォレットの外、その破産財団の外にある。取引所での出金凍結が起きても、担保が取引所にそもそも存在しなかったのだから、担保が閉じ込められることはない。

残るエクスポージャーはより狭いが実在する。クライアントに支払われるべき未決済の値洗い証拠金は、破産財団に対する無担保債権となる。管財下に入った取引所ではオープンポジションを決済できないため、ある取引所でロング、別の取引所でショートを持ってヘッジを組んでいるクライアントは、片方のレッグを失いながらもう片方のエクスポージャーは残り、しかも担保は両方とも動かせなくなる。そして、誰がミラーの解除権を持つのかという機構的な問いは、公開文書上、実のところ未解決である。通常運用下でロックされた担保の解除に取引所の同意が必要だとすれば、カストディアンは定義済みのデフォルト事由に条件づけられた一方的な解除権を持つ必要がある。その事由を定義し、それが発生したことを証明するのは法的プロセスであり、そのタイムラインはブロック単位ではなく週単位、あるいはそれ以上で測られる。破産財団から見て安全な資産であっても、長期間動かせないままになることがある。

カストディアンが破綻した場合

このケースへの注目度ははるかに低く、分岐もより多い。カストディアン主体の破綻は、構造的保護に最もなじむ分岐だ。分別信託の取り決めのもとで保有される資産は原則として破産財団の財産ではなく、英国規制下のカストディアンや連邦認可のナショナル・トラスト・バンクは、それを実践において確実にするためのルールのもとで運営されている。BitGoの転換が表明どおりに完了しているならば、ナショナル・トラスト・チャーターは、州のトラスト・チャーターでは満たされないかもしれない連邦検査と資本要件をもたらす。もっとも、取得したページからはその承認の範囲を確認できなかった。

より危険な分岐はオペレーション上の破綻だ。鍵の侵害、ランサムウェア、裁判所命令による凍結、署名インフラの停止は、いずれもカストディアンが債務超過であることを必要としない。カストディアンが残高のアテステーションと決済指図の処理を止めるだけで十分だ。アテステーションが止まった瞬間、接続しているすべての取引所は、もはや検証も強制もできない証拠金クレジットを抱え込むことになる。合理的な取引所の対応は、影響を受ける口座を停止すること、そしてポジションがオープンで未決済証拠金が積み上がっている場合には清算することだ。これは、そのカストディアンに接続しているすべての取引所で、そのカストディアンを使うすべてのクライアントに対して、同じ時間帯に一斉に起こることになる。

これはプリファンディングのもとでは存在しなかった、具体的な伝染メカニズムを生む。担保が取引所に置かれていた時代には、カストディアンのオペレーション状態は取引の証拠金計算とは無関係だった。ミラーリングは、カストディアンの可用性を、接続するすべての取引所における証拠金の十分性に対するライブな入力値に変えてしまう。

ふたつの間にもうひとつの破綻面が存在する。ネットワーク層、すなわちアテステーション・バス、割当ロジック、決済オーケストレーションはボールトとは別物だ。Copperが謳うマルチカストディアン対応、Komainu・BitGoのカストディがCopper自身のカストディと並存している点は、この分離を示唆している。すべてのカストディアンが健全なままネットワーク層だけで障害が起きた場合、担保の可動性は凍結するが権原自体は脅かされない。3つのシナリオの中で最も軽度であり、おそらく最も頻繁に起こるものだろう。

決済レールの上に乗った融資

これらのネットワークが融資へと拡張しているとされる動きは、カストディの範囲を超えてリスクプロファイルを変える。

ミラーリングされた担保に対する与信は独自のメカニクスを持ち込む。分別ボールト内の資産に対して融資を実行する貸し手は、デフォルト時にその資産に対する強制可能な回収手段を必要とする。貸し手が担保に対する質権のみを取得し、資産が一切動かないのであれば、その取り決めはクリーンであり、クライアントの立場はOESのベースケースに近いままだ。しかし貸し手が占有を取得したり、自らの帳簿に資金を供給するために担保を再利用する権利を取得したりする場合、クライアントはその超過分について貸し手に対する無担保債権者になり、分別ボールトはもはや意図したようにリスクを隔離しない。

再質入れ(rehypothecation)はプライムブローカレッジにおける標準的な慣行だ。融資スプレッドは薄く、レンディング業務の経済性は一般に担保が収益を生む状態にあることに依存する。決済ネットワークが取引所の証拠金並みの利率で融資を提供する場合、資金の出所は、薄いスプレッドを受け入れる資本力の厚いバランスシートか、担保の再利用かのいずれかになる。歴史的な対比は明快だ。Lehman Brothers International (Europe)の担保が再質入れされていたヘッジファンド顧客は、管財手続きにおいて無担保債権者として扱われ、回収には何年もかかった。資産が分別管理されたままだった顧客は、異なる結末を迎えた。

これに対する反論は、規制対象のカストディ主体が再利用に対して構造的な制約に直面するというものだ。受託者としての立場で資産を保有するトラスト・バンクや、顧客資産規則のもとで運営する英国規制下のカストディアンは、一般にカストディされた財産を自らの資金として扱うことができない。この制約は規制対象主体が保有する資産を保護するが、融資はしばしばそのトラストの枠の外にある関連会社によって供与される。FalconXがCopperのボールト内の担保に対してレバレッジを提供する場合や、Hidden RoadがZodiaのボールト内の担保に対してプライムサービスを提供する場合には、少なくとも3つの法人と少なくとも2組の契約文書が絡む。信用供与者の請求権がカストディの防火壁の内側に届くかどうか、届くとしてどんな条件下でなのかは主体単位の詳細であり、取得したいずれの資料もそれには触れていない。これは不利な形で解決済みではなく、未解決の論点として指摘しておく。

OESは市場リスクを減らすものでもない。250倍のレバレッジをかけているクライアントは、カストディの取り決めに関係なく250倍のままだ。急速な清算カスケードにおいては、取引所のエンジンがポジションをクローズし、カストディアンは取引所の指図に応じて担保を解放する。カスケードの経路、スリッページ、オートデレバレッジの挙動は、プリファンディングされた証拠金の場合と変わらない。カストディ構造が変えるのは決済手続きであって、市場イベントそのものではない。担保保護とハイレバレッジを同一製品の補完的な特徴として提示するのは、メカニズムの説明としては正確だが、実際には別々のふたつのリスクを混同させている。

清算機関なきクリアリング層

もし一握りのプロバイダーが、互いに競合し、リスクを共有しない複数の取引所にまたがる共通の担保インフラとして座っているのだとすれば、この市場はクリアリングハウスを設立しないままクリアリング層を発展させたことになる。

中央清算機関(CCP)はリスクを意図的に集中させ、構造的なメカニズムでそれをバランスさせる。会員基準、当初証拠金モデル、共同デフォルト・ファンド、定義された損失ウォーターフォール、そして破綻処理レジームがそれだ。集中は多角的ネッティングと秩序だったデフォルト管理を可能にする。ClearLoop、Interchange、BitGoについて取得した文書のいずれにも、デフォルト・ファンド、損失分担のウォーターフォール、会員間の損失分担についての記述はない。これらのネットワークは、共通のオペレーターを持つ二者間の担保取り決めとして機能しているように見える。その組み合わせは、損失吸収の仕組みを欠いたままCCPと同等のシステミックな存在感を持つことになる。これは開示の欠如から導かれる推論だ。保険カバレッジ、資本バッファ、保証の取り決めに関する公開情報は、3社いずれについても取得資料では入手できなかった。

規制対象主体への集約には明確な利点がある。株主にStandard Charteredを含む英国規制下のカストディアン、あるいは連邦認可のナショナル・トラスト・バンクへの転換を承認された主体に機関投資家の担保が集中する市場は、検査体制を欠いたオフショアの取引所群に担保が散らばっている市場よりも厳しい監督下にある。資本要件、分別管理規則、定期検査は、2022年に明らかになった構造的脆弱性に対応するものだ。監督対象主体への集約は、拡散し観察不能だったリスクを、集中し観察可能なリスクへと変える。

しかしその議論は相関リスクを解消しない。複数のOESネットワークと統合された取引所は、それぞれのネットワークが担う証拠金ブックの部分について、そのネットワーク全部に依存することになる。8つの取引所すべてで単一のカストディアンを使っているファンドにとって、そのカストディアンは自らの取引運営における単一障害点となり、標準的な分散の実務に反する。これらのプロバイダーを流れる機関投資家の取引量に関する公開データが存在しない以上、このチョークポイント仮説は現時点では実証的に検証できず、開示を待つ構造的条件のままである。

カウンターパーティのためのデューデリジェンス要件

これまでの分析から導かれる問いは具体的であり、ベンダー資料の大半はそれに答えていない。

  • 各取引所でミラーリングされた残高を規律する法的文書はどれか。取引所の請求権は、その取引所の破産手続きにおいてどの順位に位置づけられるか。
  • 取引所の同意なしにカストディアンが割当済み担保を一方的に解除できる権利を発動する事由は何か。そうした事由の成立を確定するのにどれだけの時間がかかるか。
  • カストディアンが取引所の移転指図を実行しなければならない条件は何か。実行前にカストディアンが行う検証があるとすればそれは何か。
  • 同一の担保が複数の取引所での権利を同時に裏付けることは可能か。可能である場合、二つの取引所が同時に指図を出したときの不足分を誰が吸収するのか。
  • いずれかの融資商品のもとで信用を供与する法人はどこか。それはカストディの防火壁の内側にあるのか外側にあるのか。その契約はクライアント担保の再利用を認めているか。
  • 破綻とは別に、カストディアン自身のオペレーション上の障害を裏付ける保険や資本は何か。

これらの問いは、暗号資産市場が形成される以前の三者間レポやプライムブローカレッジの取り決めにおいては標準的なものであり、答えはマーケティング資料ではなく契約文書の中で詳細に示されていた。現在の暗号資産の実装は、法的に定まった定義を欠く「ミラーリングされた残高」といったメカニズム用語に依拠している。

監視すべき中心的な条件は、レバレッジに対する決済頻度の相対的な水準だ。日次決済は、現物とほどほどにレバレッジのかかったデリバティブ担保向けに調整されたものだった。取引所がミラーリングされた担保を3桁レバレッジの商品へと押し込み、ネットワークが同じプールに対して与信を拡張していくにつれ、未決済のウィンドウは些細な摩擦ではなく拘束力を持つエクスポージャーになっていく。レバレッジの拡大に合わせて決済頻度が日中決済ないし連続決済へと引き締められるなら、このアーキテクチャは持ちこたえる。レバレッジと融資が拡大する一方で決済頻度が日次のままであれば、クライアントが直接選んだわけではないカウンターパーティを通じて、残存する信用リスクは広がっていくことになる。

这两种说法都是准确的,但指向相反的方向。场外结算(off-exchange settlement)之所以出现,是因为 FTX 曾持有本可自由挪用的客户资产,而其设计上的应对方案是干脆不再把资产发送到交易所。但一个支持 250 倍杠杆、且日益与借贷账本和主经纪业务并行的结算网络,实质上是包裹在托管外壳里的信贷安排。

场外结算(OES)在某一个特定维度上确实比向交易所预先充值更安全。关键问题在于是哪个维度,以及当融资业务搭上同一条通道后,剩余风险敞口究竟是什么样子。要评估这种敞口,需要弄清楚镜像余额在法律上究竟是什么、谁能在什么条件下动用它、未结算窗口持续多长时间,以及哪个法律实体是针对该抵押品发放信贷的一方。

关于这些问题的公开文档非常薄弱。Copper 的 ClearLoop 产品页面是一个带有合作方高管引语的营销页面。原本应记录 ClearLoop 融资扩展情况的 FalconX 合作公告,我们尝试检索时返回了 404。BitGo 的主经纪业务页面仅有一句关于获得 OCC 批准转为联邦特许全国性信托银行的标题片段,没有任何支撑细节。BitMEX 的公告是四者中最实质的一份,但也只是用产品语言而非法律语言描述了镜像机制。凡是公开记录空白之处,我们会直接说明。

预先充值的真实代价

在 OES 出现之前,机构如果想在中心化交易所进行大额交易,就必须把抵押品发送给交易所。交易所持有私钥、在内部账本上记账,并按此记录为仓位提供保证金。客户资产与交易所自有资产存放在同一批钱包里,在后来行业记录的失败案例中,甚至记在同一张资产负债表上。2022 年 11 月 FTX 的崩溃之所以是这方面的参照案例,是因为资产混同并非源于黑客攻击或市场波动的意外事件。客户抵押品实际上被运营方当作了资金来源,而客户以为代表所有权的内部账本记录,最终不过是一笔无担保债权。

这种结构带来两类性质不同的成本,二者的形成机制截然不同。

第一类是闲置抵押品的信用风险敞口。一支运行基差交易的基金,可能会在交易所存放远超所需保证金数倍的资金,纯粹是为了在剧烈波动期间避免被清算,并保留加仓能力。这个缓冲垫中的每一美元,实际上都是给交易所的一笔无担保贷款,不产生任何收益,且暴露在客户无法观察的运营方行为风险之下。OES 正是针对这一点。如果抵押品存放在第三方托管机构的隔离金库中,只把保证金权益信息传递给交易所,那么这部分缓冲垫就不再计入交易所的资产负债表。

第二类成本是仓位本身产生的敞口。衍生品仓位会持续产生变动保证金,某一方持续欠着另一方钱,这种义务与抵押品托管在哪里无关。一个在交易所有大额未实现盈利的交易者,无论其底层抵押品是存放在交易所的热钱包,还是英国某个 Zodia 金库里,其身份都是该交易所的债权人。OES 通过高频结算来压缩这种敞口,而不是消除它。

这个区分之所以重要,是因为供应商的宣传话术往往把这两者混为一谈。“资产从未离开托管”这一说法只适用于第一类成本,对第二类成本则只字不提。

镜像是一种许可,而非转移

在这三种架构中,承担最多含义的词是”镜像”(mirroring)。BitMEX 的公告称,抵押品存放在 Zodia Trading Vault 中并镜像至 BitMEX,在交易的每个环节都保持冷存储、隔离托管状态,直至结算,自动结算流程通过 Interchange Trading Vault 和 Settlement Wallet 完成。这在结构上描述的其实是一种”证明余额”:托管方锁定一定数量的资产,并向交易所发出信号,表明这些资产已被锁定并分配给该客户在该交易所的账户。交易所据此为其记入保证金。交易发生时并没有真正的链上转移发生到交易所。

这种设计带来三个结构性后果。

镜像余额是一种合同构造,而非密码学构造。交易所拿到的究竟是一项质押权、一种担保权益、三方协议下的某种权利,还是更接近附带不可撤销指令的保管安排(bailment),完全取决于托管方、交易所与客户之间的文件条款。这一分类决定了破产程序中的清偿顺序,而这三个网络都没有公开这一信息。托管方金库中的锁定余额并不能自动执行。必须靠合同条款让这种锁定对客户具有可执行性,同时让释放行为对交易所也具有可执行性。

结算节奏决定了剩余信用敞口窗口的大小。据 BitMEX 所述,Interchange 每日结算一次。在结算周期之间,累积的变动保证金处于未结算状态。当日盈利的客户,对该金额拥有针对交易所的债权,而这笔债权除了交易所的偿付能力外没有任何其他保障。当日亏损的客户则欠交易所钱,交易所的追偿手段就是被锁定的抵押品。这种敞口并未被消除,只是从原先全额存入的余额,缩小到大约一个结算周期内的净变动保证金,再加上清算过程中产生的滑点。这是一种有限度的改善,其幅度直接取决于结算频率。在一个提供 250 倍杠杆产品的交易所上进行每日结算,与在一个现货交易所上进行每日结算,两者的敞口性质截然不同。

托管方扮演的是交易所抵押品主张的代理人角色,而非中立的保险库。要让镜像机制支撑杠杆交易,交易所必须能够在仓位被清算时直接动用锁定的抵押品,而无需征得客户同意。这意味着托管方事先已同意,在特定条件下执行交易所发出的转账指令。因此,客户所获得的保护并不在于托管方掌控私钥,而在于托管方必须采取行动的条件是否足够狭窄、可验证,并被正确实施。如果某个交易所的清算引擎对仓位定价出错,或者依据了被污染的指数在运作,托管方依然会转移资产,因为在那一刻,托管方的法律义务就是执行该指令。

还有一个机制在公开资料中完全没有记载。将单一托管资金池连接至多个交易所的网络,宣传的卖点是资本效率。要在多个交易所之间实现效率,要么客户为每个交易所划分独占的抵押品份额(此时收益仅限于免于预先充值),要么不同交易所的权益对同一个共享资金池存在重叠。后一种模式在压力时刻会产生净额结算问题,因为如果两个交易所同时对同一客户执行清算,双方都会针对同一批资产发出指令。我们无法从公开文档中判断 ClearLoop 或 Interchange 采用的是哪种模式。

三个网络,以及其公开文件未曾说明的部分

融资方面的说法同样如此。ClearLoop Loans 以及 FalconX 的直接市场准入杠杆额度是 ClearLoop 架构中的关键环节,因为它们正是托管分离与信贷发放交汇之处,但记录这些内容的公告却无法检索到。Zodia 据称与 Hidden Road 达成的主经纪合作,在 BitMEX 的公告中完全没有提及。BitGo 的 Go Network,以及所谓某加密托管商首次 IPO 的说法,在我们能检索到的资料中同样没有佐证,只留下那个没有日期、也未说明转换是否已完成的 OCC 标题片段。

我们检索到的资料能够确认的是,这些都是面向机构准入范围内的产品。Interchange 仅面向特定司法辖区内符合条件的 Zodia 与 BitMEX 共同机构或专业客户开放。这一限制本身就是一种风险控制手段,它约束了可能同时通过该通道被清算的客户群体,但同时也限制了网络的增长空间。

两种破产,两种截然不同的清算过程

主要的诊断方法是逐一走查这种安排各个环节的失败情形。

如果交易所倒闭

这正是 OES 设计初衷所应对的情形,也是它处理得最好的情形。客户抵押品处于链上,由托管方控制,存放在隔离金库中,既不在交易所的钱包里,也不在其破产财产范围内。交易所出现提现冻结,并不会导致抵押品被困住,因为抵押品从一开始就不在交易所那里。

剩余的风险敞口范围更窄,但依然真实存在。欠客户的未结算变动保证金,是针对破产财产的一项无担保债权。处于破产管理程序中的交易所无法平掉未平仓头寸,因此一个在某交易所做多、另一交易所做空来对冲的客户,会失去一条腿的仓位,同时在另一条腿上继续暴露风险,而两边的抵押品都被锁定。至于谁有权解除镜像锁定这一机制性问题,在公开文档中确实没有解决。如果在正常运作下解锁分配的抵押品需要交易所同意,那么托管方就需要一项以明确违约事件为条件的单方面释放权。定义这一事件、并证明其已经发生,是一个以周甚至更长时间计的法律流程,而非以区块计的过程。免于破产财产追索的资产,仍可能在很长一段时间内无法动用。

如果托管方倒闭

这种情形受到的关注要少得多,而且引出了更多分支。托管实体破产是最容易通过结构性手段加以保护的分支:存放在隔离信托安排中的资产,原则上不属于破产财产,而受英国监管的托管方或联邦特许全国性信托银行,都在按设计使这一点在实践中成立的规则下运作。如果 BitGo 所述的转换按其声明完成,联邦信托牌照将带来州级信托牌照可能无法比拟的联邦审查和资本要求,不过我们无法从检索到的页面确认这一批准的具体范围。

运营性故障是更危险的分支。私钥泄露、勒索软件事件、法院冻结令,或签名基础设施宕机,都不需要托管方陷入破产,只需要托管方停止证明余额、停止处理结算指令即可。一旦证明停止,所有相连的交易所手上的保证金授信就再也无法被验证或执行。理性的交易所反应是暂停受影响的账户,并在存在未平仓头寸、未结算保证金持续累积的情况下予以清算。这种情况会在与该托管方相连的所有交易所、所有使用该托管方的客户身上同时发生,而且是在同一个小时内。

这就产生了一种在预先充值模式下不存在的具体传染机制。当抵押品存放在交易所时,托管方的运营状态与交易保证金业务是相互独立的。而镜像机制使托管方的可用性成为它所连接的每一个交易所保证金充足性的实时输入变量。

第三种失败面介于两者之间。网络层,即证明总线、分配逻辑和结算编排,与金库本身是分离的。Copper 据称支持的多托管方模式(Komainu 和 BitGo 的托管与 Copper 自身的托管并存)暗示了这种分离。如果所有托管方都健康,仅网络层出现故障,会冻结抵押品的流动性,但不会危及所有权本身,这是三种情形中最温和的一种,也很可能是发生频率最高的一种。

结算轨道之上的融资业务

据报道这些网络正在向借贷业务扩展,这会改变超出托管范畴的整体风险状况。

针对镜像抵押品发放信贷涉及独特的机制问题。向隔离金库中的资产发放贷款的贷方,需要在违约时对这些资产拥有可执行的追索权。如果贷方只是取得留置权,资产从未挪动,那么这种安排是清晰的,客户的处境接近 OES 的基本情形。但如果贷方取得了实际占有权,或者取得了将抵押品挪用以支撑自身账簿的权利,那么客户就成了针对贷方超额部分的无担保债权人,隔离金库也就不再能按预期隔离风险了。

再抵押(rehypothecation)在主经纪业务中是常规做法。融资利差很薄,借贷业务的经济性通常依赖于抵押品能被投入使用产生收益。当一个结算网络能以与交易所保证金相竞争的利率提供贷款时,资金来源要么是资本充足、愿意接受微薄利差的资产负债表,要么就是抵押品的挪用再利用。历史对比很清楚:雷曼兄弟国际(欧洲)公司(Lehman Brothers International Europe)的对冲基金客户,其被再抵押的资产在破产管理程序中沦为无担保债权,追偿耗时数年。而资产保持隔离状态的客户,结果则截然不同。

反驳的论点是,受监管的托管实体在挪用资产方面面临结构性约束。以受托身份持有资产的信托银行,或在客户资产规则下运作的英国受监管托管方,通常不能把托管财产当作自己的融资来源。这种约束保护了受监管实体所持有的资产,但融资业务往往是由信托边界之外的关联方来提供的。FalconX 针对 Copper 金库中的抵押品提供杠杆,或 Hidden Road 针对 Zodia 金库中的抵押品提供主经纪服务,这类安排至少涉及三个法律实体和至少两套文件。信贷提供方的主张能否穿透托管防火墙、在何种条件下穿透,属于实体层面的细节,而我们检索到的所有资料都没有涉及这一点。我们将其标记为悬而未决,而非已被负面证实。

OES 也并不能降低市场风险。一个使用 250 倍杠杆的客户,无论托管安排如何,依然处于 250 倍杠杆之下。在快速清算连锁反应中,交易所引擎平仓,托管方按交易所指令释放抵押品。连锁反应的路径、滑点和自动减仓的行为方式,与预先充值保证金的情形并无二致。托管结构改变的是清算处理流程,而不是市场事件本身。把”抵押品保护”和”高杠杆”包装成同一产品中相辅相成的特性,虽然在机制描述上是准确的,但却把两种截然不同的风险混为一谈了。

没有清算所的清算层

如果少数几家服务商在原本相互竞争、彼此不共担风险的交易所之间充当共同的抵押品基础设施,那么这个市场实际上已经形成了一个没有清算所(clearinghouse)的清算层。

一个中央对手方会有意集中风险,并通过结构性机制加以平衡:成员资格标准、初始保证金模型、互助违约基金、明确的损失分配瀑布机制,以及处置机制。集中化能够实现多边净额结算和有序的违约管理。而我们检索到的关于 ClearLoop、Interchange 或 BitGo 的文档中,没有任何一份提到违约基金、损失分摊瀑布,或成员间的损失互助安排。这些网络看起来更像是共享同一运营方的双边抵押品安排。这种组合具备中央对手方的系统性影响,却没有其吸收损失的机制,这是基于披露缺失所得出的推断。三家服务商在保险覆盖、资本缓冲和担保安排方面的公开细节,在我们检索到的资料中均无法获得。

向受监管实体集中确实带来明显的好处。相比抵押品分散在缺乏审查机制的离岸交易所,机构抵押品集中在股东包括渣打银行的英国受监管托管方,或者集中在获批转为联邦特许全国性信托银行的实体,所面临的监管要严格得多。资本要求、隔离规则和定期审查,正是针对 2022 年暴露出的结构性弱点而设的。向受监管实体集中,能把分散、不可观察的风险,转化为集中、可观察的风险。

但这一论点并不能解决相关性风险的问题。一个与多个 OES 网络对接的交易所,其保证金账簿中由每个网络承担的那部分,都依赖于这些网络各自的稳定运行。一支基金如果在八个交易所都使用同一家托管方,就等于让这家托管方成为其整个交易业务的单点故障,这与标准的分散化实践相悖。由于目前没有公开数据显示有多少机构交易量流经这些服务商,“瓶颈”这一假设目前尚无法通过实证检验,它仍是一种有待披露信息验证的结构性状况。

交易对手尽职调查要点

上述分析引出的问题都很具体,而且大多没有从供应商材料中得到解答:

  • 每个交易所的镜像余额分别由哪种法律文书约束,交易所的主张在该交易所破产程序中的清偿顺序如何排列?
  • 哪些事件会触发托管方无需交易所同意即可单方面解锁已分配抵押品的权利,认定此类事件发生需要多长时间?
  • 在什么条件下托管方必须执行交易所的转账指令,托管方在执行前是否会进行任何验证,如果有,是哪些验证?
  • 同一笔抵押品能否同时支撑多个交易所的权益?如果可以,当两个交易所同时发出指令时,由哪一方来承担缺口?
  • 任何融资产品下的信贷是由哪个法律实体发放的,该实体处于托管防火墙之内还是之外,其文件是否允许挪用客户抵押品?
  • 除了托管方破产之外,针对托管方自身运营性故障,有哪些保险或资本作为支撑?

在加密市场形成之前,三方回购和主经纪业务安排早已把这些问题当作标准问题,答案会详细写在文件中,而不是营销文案里。目前加密领域的实现方式,依赖的是”镜像余额”这类缺乏确定法律定义的机制性术语。

值得持续关注的核心条件,是结算节奏相对于杠杆水平的匹配程度。每日结算原本是针对现货和杠杆水平适中的衍生品抵押品而设定的节奏。随着交易所把镜像抵押品推向提供三位数杠杆的产品,以及网络开始针对同一资金池发放信贷,未结算窗口将从一个次要摩擦点,变成决定性的风险敞口。如果结算节奏随着杠杆的提升而收紧到日内甚至连续结算,这套架构仍能站得住。但如果杠杆和借贷业务不断扩张,而结算节奏依然停留在每日一次,剩余的信用风险就会通过客户无法直接选择的交易对手不断扩大。

Introducción

El anuncio de BitMEX sobre Interchange de Zodia Custody, fechado el 20 de abril de 2026, describe dos características dentro del mismo producto. El colateral del cliente reside en custodia fría y segregada dentro de lo que Zodia denomina un Trading Vault, se refleja (mirrored) hacia BitMEX con fines de trading en lugar de transferirse, y liquida diariamente en BTC, ETH, USDC o USDT. Una vez reflejado, ese mismo cliente puede acceder a toda la suite de derivados de BitMEX, incluyendo hasta 250x de apalancamiento.

Ambas afirmaciones son ciertas y apuntan en direcciones opuestas. La liquidación fuera del exchange existe porque FTX mantenía activos de clientes que era libre de mover. La respuesta de diseño fue dejar de enviar activos al venue por completo. Pero una red de liquidación que soporta 250x de apalancamiento, y que cada vez más convive con libros de préstamos y líneas de prime brokerage, es un arreglo de crédito que opera dentro de un envoltorio de custodia.

La liquidación fuera del exchange, u OES, es más segura que prefondear un exchange en un eje específico. La cuestión crítica es cuál es ese eje, y cómo luce la exposición residual una vez que el financiamiento circula por el mismo riel. Evaluar esa exposición requiere saber qué es legalmente un balance reflejado, quién puede moverlo y bajo qué condiciones, cuánto dura la ventana de liquidación pendiente, y qué entidad legal extiende crédito contra el colateral.

La documentación pública sobre estos puntos es escasa. La página de producto de ClearLoop de Copper es una página de marketing con una cita de un ejecutivo asociado. El anuncio de la asociación con FalconX que documentaría la extensión de financiamiento de ClearLoop devolvió un error 404 al intentar recuperarlo. La página de prime brokerage de BitGo lleva un único fragmento de titular sobre la aprobación de la OCC para convertirse en un banco fiduciario nacional con carta federal, sin detalle adicional. El post de BitMEX es el más sustancial de los cuatro y aun así describe el mecanismo de reflejo en lenguaje de producto en lugar de términos legales. Donde el registro público está vacío, lo indicamos directamente.

Lo que el prefondeo realmente costaba

Antes del OES, una institución que quería operar tamaño en un venue centralizado enviaba el colateral al venue. El exchange retenía las claves privadas, acreditaba un balance en un libro contable interno, y margaba las posiciones contra esa entrada. Los activos del cliente y los activos del exchange vivían en las mismas wallets y, en los casos de fallo que la industria documentó después, en el mismo balance. El colapso de FTX en noviembre de 2022 es el punto de referencia porque la mezcla de activos no fue incidental a un hackeo o un movimiento de mercado. El colateral de los clientes estaba disponible para el operador como fuente de financiamiento, y la entrada del libro interno que los clientes trataban como propiedad resultó ser una reclamación sin garantía.

Esa estructura produjo dos costos distintos que se separan por mecanismo.

El primero es exposición crediticia sobre colateral ocioso. Un fondo corriendo un basis trade podía mantener un múltiplo grande de su margen requerido en un venue simplemente para evitar riesgo de liquidación durante volatilidad, y para poder añadir posición. Cada dólar de ese colchón era un préstamo sin garantía al exchange, sin generar nada, expuesto a un comportamiento del operador que el cliente no podía observar. El OES apunta directamente a esto. Si el colateral permanece en un vault segregado en un custodio tercero y solo se comunica al venue el derecho de margen, el colchón deja de estar en el balance del venue.

El segundo costo es exposición sobre las posiciones mismas. Una posición de derivados genera margen de variación. Alguien le debe dinero a otro de forma continua, y esa obligación existe sin importar dónde esté custodiado el colateral. Un trader con una ganancia no realizada grande en un venue es acreedor de ese venue por la ganancia, ya sea que el colateral subyacente esté en la hot wallet del venue o en un vault de Zodia en el Reino Unido. El OES comprime esta exposición liquidando con frecuencia en lugar de eliminarla.

La distinción importa porque el discurso de los proveedores tiende a colapsar ambos costos. La afirmación de que los activos nunca salen de custodia aplica al primer costo mientras guarda silencio sobre el segundo.

El reflejo es un permiso, no una transferencia

La palabra que hace más trabajo en las tres arquitecturas es mirroring (reflejo). El post de BitMEX dice que el colateral se mantiene en el Zodia Trading Vault y se refleja hacia BitMEX, permaneciendo en custodia fría segregada en cada punto de la operación hasta la liquidación, con liquidación automatizada corriendo a través de un Interchange Trading Vault y un Settlement Wallet. Lo que esto describe estructuralmente es un balance certificado (attested): el custodio bloquea una cantidad definida de activos y le señala al venue que esos activos están bloqueados y asignados a la cuenta de ese cliente en ese venue. El venue acredita margen contra esa certificación. No ocurre transferencia on-chain al venue en el momento de la operación.

De este diseño se derivan tres consecuencias estructurales.

El balance reflejado es una construcción contractual, no criptográfica. Si el venue tiene una prenda, un interés de garantía, un derecho bajo un acuerdo tripartito, o algo más cercano a un depósito (bailment) con instrucción irrevocable, lo determina la documentación entre custodio, venue y cliente. Esa clasificación determina la prioridad en un procedimiento de insolvencia, y no se divulga públicamente para ninguna de las tres redes. Un balance bloqueado en el vault de un custodio no se autoejecuta. Los términos contractuales deben hacer el bloqueo exigible frente al cliente, y deben hacer la liberación exigible frente al venue.

La cadencia de liquidación determina el tamaño de la ventana de crédito residual. Interchange liquida diariamente, según BitMEX. Entre ciclos de liquidación, el margen de variación acumulado queda pendiente. Un cliente que está en ganancia en el día mantiene una reclamación contra el venue por ese monto, respaldada por nada más que la solvencia del venue. Un cliente que está en pérdida le debe al venue, y el recurso del venue es el colateral bloqueado. La exposición no se ha eliminado; se ha redimensionado del balance total depositado a aproximadamente un período de liquidación de margen de variación neto más el deslizamiento que ocurra durante una liquidación. Es una mejora acotada, y su magnitud es función directa de la cadencia. Una liquidación diaria en un venue que ofrece productos con 250x crea una exposición materialmente distinta a una liquidación diaria en un venue spot.

El custodio actúa como agente de la reclamación de colateral del venue, no como una bóveda neutral. Para que el reflejo soporte apalancamiento, el venue debe poder alcanzar el colateral bloqueado cuando se liquida una posición, sin consultarlo con el cliente. Esto significa que el custodio ha acordado de antemano ejecutar instrucciones de transferencia del venue bajo condiciones específicas. La protección del cliente, entonces, no es que el custodio controle las claves. Es que las condiciones bajo las cuales el custodio debe actuar sean estrechas, verificables y correctamente implementadas. Si el motor de liquidación de un venue valora mal una posición o actúa sobre un índice corrupto, el custodio moverá los activos de todos modos, porque la obligación legal del custodio en ese momento es honrar la instrucción.

Un mecanismo adicional permanece sin documentar en fuentes públicas. Las redes que conectan un único pool custodiado a varios venues promocionan eficiencia de capital. La eficiencia entre venues requiere que el cliente asigne segmentos exclusivos de colateral por venue, en cuyo caso la ganancia se limita a no prefondear, o que los derechos en distintos venues se superpongan contra un pool compartido. El segundo caso crea un problema de netting cuando llega el estrés, ya que dos venues liquidando al mismo cliente simultáneamente instruirían ambos contra los mismos activos. No pudimos determinar a partir de la documentación pública qué modelo usan ClearLoop o Interchange.

Tres redes, y lo que sus documentos públicos no dicen

Las tres arquitecturas que anclan este mercado difieren en estructura custodial, ancla regulatoria, y cuánto ha avanzado cada una hacia el financiamiento. También difieren marcadamente en cuánto es verificable.

Circulan varias cifras sobre la escala de ClearLoop, incluyendo un throughput del orden de $50.000 millones al mes a través de aproximadamente ocho venues, con soporte multi-custodio de Komainu y BitGo. Ninguna aparece en la página pública de producto de Copper, y no pudimos verificarlas contra divulgación primaria. Bien podrían ser exactas. No deben tratarse como confirmadas, y una institución que dimensione límites de contraparte con base en el throughput declarado de una red debería pedir la cifra certificada en lugar de la cifra de marketing.

Lo mismo aplica a las afirmaciones sobre financiamiento. ClearLoop Loans y una línea de apalancamiento de acceso directo al mercado de FalconX son elementos clave de la estructura de ClearLoop porque representan el punto donde la separación de custodia se encuentra con la extensión de crédito, y sin embargo el anuncio que los documenta no es recuperable. La asociación de prime brokerage reportada entre Zodia y Hidden Road está ausente por completo del post de BitMEX. La Go Network de BitGo y la reportada primera IPO de un custodio cripto tampoco están evidenciadas en lo que pudimos recuperar, dejando solo el fragmento de titular de la OCC, sin fecha ni declaración de si la conversión está completa.

Lo que las fuentes recuperadas sí establecen es que estos son productos de perímetro institucional. Interchange está limitado a clientes institucionales o profesionales elegibles y mutuamente aceptados por Zodia y BitMEX en jurisdicciones seleccionadas. Esa restricción es en sí misma un control de riesgo, ya que limita la población que puede ser liquidada simultáneamente a través del riel, mientras también limita el crecimiento de la red.

Dos insolvencias, dos desenlaces muy distintos

El diagnóstico primario es el recorrido de fallo en cada extremo del arreglo.

Si el venue falla

Este es el caso para el que se construyó el OES, y el caso que maneja mejor. El colateral del cliente está on-chain bajo control del custodio, en un vault segregado, fuera de las wallets del venue y fuera de su patrimonio. Un congelamiento de retiros en el venue no atrapa el colateral, porque el colateral nunca estuvo en el venue.

Las exposiciones residuales son más estrechas pero reales. El margen de variación pendiente adeudado al cliente es una reclamación sin garantía contra el patrimonio. Las posiciones abiertas no pueden cerrarse en un venue en administración, así que un cliente corriendo una cobertura con un largo en un venue y un corto en otro pierde una pata mientras permanece expuesto en la otra, con colateral bloqueado detrás de ambas. Y la cuestión mecánica de quién libera el reflejo permanece genuinamente sin resolver en la documentación pública. Si el venue debe dar su consentimiento para desbloquear el colateral asignado en operación normal, entonces el custodio necesita un derecho de liberación unilateral condicionado a un evento de incumplimiento definido. Definir ese evento, y probar que ha ocurrido, es un proceso legal con un cronograma medido en semanas o más, no en bloques. Los activos que están a salvo del patrimonio pueden seguir estando inmovilizados por un período largo.

Si el custodio falla

Este caso recibe mucha menos atención e introduce más ramificaciones. La insolvencia de la entidad custodial es la rama más susceptible de protección estructural: los activos mantenidos en arreglos fiduciarios segregados no son, en principio, propiedad del patrimonio, y un custodio regulado en el Reino Unido o un banco fiduciario nacional con carta federal opera bajo reglas diseñadas para que eso sea cierto en la práctica. Una carta fiduciaria nacional, si la conversión de BitGo se completa según lo declarado, trae examen federal y requisitos de capital que una carta fiduciaria estatal podría no igualar, aunque no pudimos confirmar el alcance de la aprobación a partir de la página recuperada.

El fallo operativo es la rama más peligrosa. Un compromiso de claves, un evento de ransomware, un congelamiento ordenado por un tribunal, o una interrupción de la infraestructura de firma no requiere que el custodio sea insolvente. Solo requiere que el custodio deje de certificar balances y de procesar instrucciones de liquidación. En el momento en que la certificación se detiene, cada venue conectado sostiene crédito de margen que ya no puede verificar ni exigir. La respuesta racional del venue es suspender las cuentas afectadas y, donde hay posiciones abiertas y margen pendiente acumulándose, liquidar. Eso ocurriría en todos los venues conectados a ese custodio a la vez, para todos los clientes que usan ese custodio, en la misma hora.

Eso crea un mecanismo de contagio concreto que no existía bajo el prefondeo. Cuando el colateral estaba en el venue, el estado operativo de un custodio permanecía separado del margen de las operaciones. El reflejo convierte la disponibilidad de un custodio en un insumo en vivo para la adecuación del margen en cada venue al que se conecta.

Una tercera superficie de fallo se ubica entre las dos. La capa de red, es decir, el bus de certificación, la lógica de asignación y la orquestación de liquidación, es distinta del vault. El soporte multi-custodio reportado de Copper, con custodia de Komainu y BitGo junto a la propia de Copper, implica esta separación. Una interrupción a nivel de red con todos los custodios sanos congelaría la movilidad del colateral sin poner en riesgo la titularidad, que es el más benigno de los tres escenarios y probablemente el más frecuente.

Financiamiento sobre el riel de liquidación

La extensión reportada de estas redes hacia el préstamo altera el perfil de riesgo más allá de la custodia.

El crédito contra colateral reflejado introduce mecánicas distintas. Un prestamista que extiende un préstamo contra activos en un vault segregado necesita recurso exigible sobre esos activos en caso de incumplimiento. Si el prestamista toma solo un gravamen y los activos nunca se mueven, el arreglo es limpio y la posición del cliente permanece cercana al caso base de OES. Si el prestamista toma posesión, o toma el derecho de reutilizar el colateral para fondear su propio libro, el cliente se convierte en acreedor sin garantía del prestamista por el exceso, y el vault segregado deja de aislar el riesgo como se pretendía.

La rehipotecación es práctica estándar en prime brokerage. Los spreads de financiamiento son delgados, y la economía de un libro de préstamos generalmente depende de que el colateral sea productivo. Cuando una red de liquidación ofrece préstamos a tasas competitivas con el margen del exchange, el fondeo debe originarse de un balance bien capitalizado que acepte un spread delgado, o de reutilización de colateral. El contraste histórico es claro: los clientes de fondos de cobertura de Lehman Brothers International (Europe) cuyos activos habían sido rehipotecados quedaron como acreedores sin garantía en la administración, y las recuperaciones tomaron años. Los clientes cuyos activos permanecieron segregados tuvieron un desenlace distinto.

El contraargumento es que las entidades custodiales reguladas enfrentan restricciones estructurales contra la reutilización. Un banco fiduciario que mantiene activos en capacidad fiduciaria, o un custodio regulado en el Reino Unido operando bajo reglas de activos de clientes, generalmente no puede tratar la propiedad custodiada como fondeo propio. Esa restricción protege los activos mantenidos por la entidad regulada, pero el financiamiento frecuentemente lo extiende una afiliada fuera del perímetro fiduciario. FalconX proveyendo apalancamiento contra colateral en un vault de Copper, o Hidden Road proveyendo servicios prime contra colateral en un vault de Zodia, involucra al menos tres entidades legales y al menos dos conjuntos de documentación. Si la reclamación del proveedor de crédito alcanza el interior del cerco custodial, y bajo qué condiciones, es detalle a nivel de entidad que ninguna de las fuentes recuperadas aborda. El OES tampoco reduce el riesgo de mercado. Un cliente a 250x sigue en 250x sin importar el arreglo de custodia. En una cascada de liquidación rápida, el motor del venue cierra posiciones y el custodio libera colateral contra la instrucción del venue. La trayectoria de la cascada, el deslizamiento y el auto-deleveraging se comportan como lo harían con margen prefondeado. La estructura de custodia cambia el procedimiento de resolución, no el evento de mercado. Presentar la protección de colateral y el alto apalancamiento como características complementarias de un solo producto describe la mecánica con precisión mientras conflaciona dos riesgos separados.

Una capa de clearing sin cámara de compensación

Si un puñado de proveedores actúa como infraestructura de colateral común entre venues que de otro modo compiten y no comparten riesgo, el mercado ha desarrollado una capa de clearing sin establecer una cámara de compensación.

Una contraparte central concentra el riesgo deliberadamente y lo equilibra mediante mecanismos estructurales: estándares de membresía, modelos de margen inicial, un fondo de incumplimiento mutualizado, una cascada de pérdidas definida y un régimen de resolución. La concentración habilita el netting multilateral y el manejo ordenado de incumplimientos. Nada en la documentación recuperada de ClearLoop, Interchange o BitGo describe un fondo de incumplimiento, una cascada de reparto de pérdidas, o mutualización de pérdidas entre miembros. Estas redes parecen operar como arreglos de colateral bilaterales que comparten un operador común. Esa combinación carga con la huella sistémica de una CCP sin su maquinaria de absorción de pérdidas, una inferencia derivada de la ausencia de divulgación. El detalle público sobre cobertura de seguros, colchones de capital y arreglos de garantía en los tres proveedores no estuvo disponible en las fuentes recuperadas.

La consolidación en entidades reguladas ofrece ventajas claras. Un mercado donde el colateral institucional se concentra en un custodio regulado en el Reino Unido cuyos accionistas incluyen a Standard Chartered, o en una entidad aprobada para convertirse en banco fiduciario nacional con carta federal, enfrenta una supervisión más estricta que uno donde el colateral está disperso entre venues offshore sin régimen de examen. Los requisitos de capital, las reglas de segregación y el examen periódico abordan vulnerabilidades estructurales evidentes en 2022. La concentración en entidades supervisadas convierte un riesgo difuso e inobservable en un riesgo concentrado y observable.

Ese argumento no resuelve el riesgo de correlación. Un venue integrado con varias redes de OES depende de todas ellas para la porción de su libro de margen que cada una sostiene. Un fondo que usa un solo custodio en ocho venues convierte a ese custodio en un punto único de fallo para su operación de trading, contradiciendo las prácticas estándar de diversificación. Como no existen datos públicos sobre el volumen institucional que fluye por estos proveedores, la hipótesis del cuello de botella no puede probarse empíricamente por ahora; sigue siendo una condición estructural a la espera de divulgación.

Requisitos de diligencia para contrapartes

Las preguntas que se derivan de este análisis son concretas y en gran medida no respondidas por el material de los proveedores:

  • ¿Qué instrumento legal rige el balance reflejado en cada venue, y dónde se ubica la reclamación del venue en la insolvencia de ese venue?
  • ¿Qué eventos activan el derecho unilateral del custodio a desbloquear colateral asignado sin consentimiento del venue, y cuánto tiempo toma establecer que ese evento ha ocurrido?
  • ¿Bajo qué condiciones debe el custodio ejecutar una instrucción de transferencia de un venue, y qué verificación, si alguna, realiza el custodio antes de actuar?
  • ¿Puede el mismo colateral respaldar derechos en más de un venue simultáneamente, y de ser así, qué parte absorbe el faltante cuando dos venues instruyen a la vez?
  • ¿Qué entidad legal extiende el crédito en cualquier producto de financiamiento, se ubica dentro o fuera del cerco custodial, y su documentación permite la reutilización del colateral del cliente?
  • ¿Qué seguro o capital respalda el fallo operativo propio del custodio, distinto de su insolvencia?

Estas preguntas eran estándar para los arreglos de repo tripartito y prime brokerage antes de que se formaran los mercados cripto, con respuestas detalladas en documentación en lugar de material de marketing. Las implementaciones cripto actualmente dependen de términos de mecanismo como balances reflejados que carecen de definiciones legales asentadas.

La condición central a monitorear es la cadencia de liquidación en relación con el apalancamiento. La liquidación diaria fue calibrada para colateral de derivados spot y con apalancamiento moderado. A medida que los venues empujan el colateral reflejado hacia productos que ofrecen apalancamiento de tres dígitos, y a medida que las redes extienden crédito contra el mismo pool, la ventana pendiente se convierte en la exposición vinculante en lugar de una fricción menor. Si la cadencia se ajusta hacia liquidación intradía o continua a medida que crece el apalancamiento, la arquitectura resiste. Si el apalancamiento y el préstamo se expanden mientras la cadencia permanece diaria, el riesgo crediticio residual se ampliará a través de contrapartes fuera de la selección directa del cliente.
